Representations, Warranties and Indemnification

Each party represents and warrants that it has the right and authority to enter into this Proposal and perform its obligations. Agency warrants that deliverables will not infringe third-party intellectual property rights. Agency shall indemnify, defend and hold Client harmless from third-party claims arising from Agency's breach of the foregoing warranty, except to the extent caused by Client materials or directions.

Limitation of Liability

Except for breaches of confidentiality or willful misconduct, neither party will be liable to the other for consequential, incidental, or punitive damages. The aggregate liability of either party for any claim arising under this Proposal will not exceed the amounts actually paid by Client to Agency under this Proposal.

Governing Law and Dispute Resolution

This Proposal will be governed by the laws of the state of without regard to conflict of laws principles. Parties shall first attempt to resolve disputes in good faith; if unresolved within 30 days, disputes shall be resolved by binding arbitration in the selected jurisdiction unless otherwise agreed in writing.
