The Agency shall produce the following deliverables in accordance with the schedule and specifications below. All deliverables must meet the Brand's reasonable creative and technical standards and will be subject to the approval procedure set forth in this Agreement.

Compensation & Expenses

Brand will pay Agency the fees and reimburse expenses as set forth below. All payment obligations are subject to timely submission of invoices and Brand's right to withhold payment for deficiencies as set out in this Agreement.

Usage Rights & Intellectual Property

Subject to full payment of fees due for each deliverable, Agency hereby grants to Brand the following rights in the deliverables, except for Agency's pre-existing materials and third-party materials licensed to Agency:

FTC Disclosure Compliance

Agency represents that all paid, sponsored, or materially supported content will be clearly and conspicuously disclosed in compliance with applicable advertising and consumer protection laws and guidelines. Agency will obtain any required disclosures or on-post labels and will provide Brand with samples of the disclosure language for approval prior to publication.

Approvals, Review & Publicity

Brand shall have the right to review and approve all creative materials prior to public release. Agency will deliver draft materials in accordance with the schedule below and allow Brand the opportunity to request reasonable modifications.

Exclusivity

If the parties have agreed to exclusivity, Agency shall not provide substantially similar creative services or content to direct competitors of Brand within the agreed scope and term as set forth below. Exclusivity applies only to the markets and channels expressly identified in this Agreement.

Confidentiality

Termination & Kill Fee

If Brand terminates for convenience or for Agency's uncured material breach, Brand shall pay a kill fee representing reasonable compensation for work performed and non-cancellable commitments as set forth above.
