EXCLUSIVITY, TERMINATION & KILL FEE

Either party may terminate this Agreement for convenience upon written notice to the other party as set forth below. Termination for cause is permitted where the non‑breaching party provides written notice and a reasonable opportunity to cure the breach.

Immediate termination without cure is permitted for willful misconduct, material breach that is not cured within the cure period, or illegal activity related to the Campaign.

INTELLECTUAL PROPERTY & OWNERSHIP

Unless otherwise agreed in writing, Agency retains ownership of pre-existing materials and underlying methodologies. Brand receives the license or assignment specified herein for the Deliverables upon full payment as set forth above. Deliverables created specifically for Brand under this Agreement shall be:

CONFIDENTIALITY

Each party shall protect Confidential Information of the other with at least the same degree of care it uses to protect its own confidential information, and not disclose such information except to agents who have a need to know and are bound by confidentiality obligations. Confidentiality obligations survive termination for years.

INDEMNIFICATION & LIMITATION OF LIABILITY

Each party shall indemnify and hold harmless the other from third-party claims arising from its breach, negligence or willful misconduct. The parties' aggregate liability for direct damages under this Agreement shall not exceed , except for claims arising from willful misconduct or gross negligence.

REPORTING, METRICS & ACCEPTANCE

Acceptance Procedure: Brand will have business days to review each Deliverable and either provide written acceptance or detailed objections. Absent timely objections, Deliverable will be deemed accepted.

EXPENSES & APPROVALS

Pre-approved out-of-pocket expenses will be reimbursed by Brand upon presentation of receipts. Expense items above require Brand's prior written approval.

GOVERNING LAW & DISPUTE RESOLUTION

This Agreement shall be governed by the laws of the State of without regard to its conflicts of law principles. Disputes shall be resolved by as selected by the parties.

MISCELLANEOUS

Entire Agreement: This Agreement, together with all exhibits and attachments executed by the parties, constitutes the entire agreement between the parties and supersedes all prior proposals, negotiations and agreements.
