TERMINATION & KILL FEE

Either party may terminate this engagement upon written notice. Termination without cause requires prior written notice of days. In the event of termination without cause after work has commenced, Brand shall pay a kill fee of to compensate for work performed to date.

INTELLECTUAL PROPERTY & OWNERSHIP

Unless an assignment is executed, the Agency/Creator retains all underlying rights to creative materials, and grants the Brand the license set forth above for use of final Deliverables. Any transfer or assignment of copyrights shall be documented in a separate written instrument.

REPRESENTATIONS, WARRANTIES & INDEMNITY

Each party represents that it has the full right, power and authority to enter into this Guide and that its performance will not infringe third-party rights. Agency/Creator warrants that Deliverables will be original and will not contain third-party marks or copyrighted material without appropriate licenses.

CHANGES, AMENDMENTS & SCOPE CREEP

Material changes to scope will be documented in a written change order signed by both parties, including adjustments to schedule, deliverables and compensation. The parties agree to good-faith negotiation of any such change orders.

GOVERNING LAW & DISPUTE RESOLUTION
