MARKETING REWARD DISPLAY AGREEMENT

This Marketing Reward Display Agreement (the Agreement) is entered into by and between:

2. Deliverables & Display Requirements

The Display Partner will produce, install, maintain and remove the reward display assets listed below in accordance with the schedule and specifications. All deliverables must conform to brand guidelines and any mutually approved mockups.

In consideration for the Deliverables, Client shall pay Display Partner as follows:

All fees are exclusive of taxes. Client is responsible for any sales, use, value added or other taxes arising from this Agreement unless Display Partner provides a valid tax exemption certificate.

4. Usage Rights & Intellectual Property

Subject to full payment, Client grants Display Partner a limited, non-exclusive, non-transferable license to use Client marks and assets solely for the purpose of performing the Deliverables in the Territory and for the Term set forth below.

Unless otherwise agreed in writing, Client retains ownership of Client trademarks, product marks and brand assets provided to Display Partner. Display Partner shall retain ownership of proprietary fabrication methods, templates and creative adaptations developed independent of Client materials, subject to the license granted herein.

5. FTC Disclosure & Compliance

Both parties represent and warrant that any promotional content associated with the Reward Display will comply with applicable advertising laws, including clear and conspicuous disclosure of material connections where required. Display Partner shall ensure that disclosures are displayed proximate to the reward messaging and consistent with regulatory standards.

Display Partner acknowledges requirement to include a clear disclosure where the display or promotional content constitutes an endorsement or material connection.

6. Exclusivity

The parties may agree to an exclusivity period during which Display Partner will not host competing reward displays for specified competing products or brands.

7. Termination & Kill Fee

Either party may terminate for convenience upon written notice. Termination for cause may be immediate where a material breach is not cured within the cure period below.

Each party represents that it has authority to enter this Agreement and that its performance will comply with applicable laws. Display Partner will maintain commercial general liability and, if requested, evidence of insurance covering installation and on-site operations. Display Partner shall indemnify and hold Client harmless from third party claims arising out of negligent installation or breach of the license terms; Client shall indemnify Display Partner for claims arising from Client materials or instructions.

10. Confidentiality & Data Protection

The parties agree to keep confidential all non-public business information disclosed in connection with this Agreement. Any personal data collected in the course of the Campaign shall be processed in accordance with applicable data protection laws and only for Campaign purposes.

11. Miscellaneous Provisions

This Agreement constitutes the entire understanding between the parties with respect to the subject matter and may be amended only by a written instrument signed by both parties. Neither party may assign this Agreement without the prior written consent of the other, except to a successor by merger or sale of substantially all assets.
