Approvals, Revisions & Acceptance

Client approval is required in writing for each deliverable. Client will provide consolidated written feedback within calendar days of receipt. Agency will provide up to rounds of revisions per deliverable; additional revisions will be billable at the Agency's standard hourly rate.

Compensation & Payment

Total Fee (exclusive of reimbursable expenses):

Late payment will accrue interest at on outstanding balances. All payments are due within days of invoice unless otherwise agreed in writing.

Expenses & Reimbursables

Reimbursable third-party expenses (ad spend, talent fees, production costs) are not included in the Total Fee unless specified. Estimated reimbursable budget:

Expenses over the agreed estimate require prior written approval from the Client.

Usage Rights & Intellectual Property

Subject to full payment, Agency grants Client a non-exclusive, worldwide license to use final approved deliverables for the Campaign in the Territory and Duration specified below. Pre-existing Agency materials, templates, source files, and Agency-owned tools remain the exclusive property of the Agency unless a separate assignment is executed.

FTC Disclosure Compliance

The Agency and Brand each warrant that all influencer, sponsored, or paid content will comply with disclosure and advertising regulations requiring clear and conspicuous disclosure of material connections. The Agency will include the following disclosure language in applicable deliverables where required:

Agency represents that all talent and creators engaged will be advised of disclosure requirements and will comply. Client is responsible for review and final approval of disclosure usage in market.

Exclusivity

Client and Agency select the applicable exclusivity provision below by checking the corresponding box. If no box is checked, no exclusivity is granted.

Termination & Kill Fee

Either party may terminate this Scope of Work upon written notice. If Client terminates without cause prior to completion, Client will pay a kill fee equal to:

Confidentiality

Representations, Indemnification & Liability

Each party represents that it has authority to enter this Scope of Work and that all materials provided do not infringe third-party rights. Agency will defend and indemnify Client against claims arising from Agency's breach of representations. Client will indemnify Agency for claims arising from Client-provided materials or instructions. Neither party will be liable for consequential damages; aggregate liability is limited to fees paid under this Scope of Work in the prior twelve months.

Change Orders

Scope changes that affect cost or schedule will be implemented only by written change order signed by both parties. Change order requests must describe the requested change, impact on schedule, and cost estimate.

Governing Law & Dispute Resolution
