Usage Rights, Ownership and License

Subject to Client's payment of all fees owed, Agency grants Client a non-exclusive, worldwide license to use campaign assets for the Campaign during the Term, except as otherwise agreed below. Ownership of original creative and underlying intellectual property is governed as follows:

FTC Disclosure and Compliance

Each party shall comply with all applicable advertising, consumer protection and platform policies, including disclosure obligations for sponsored content and endorsements.

Agency represents that it will ensure any required advertising disclosures are clear and conspicuous. Client confirms responsibility for truthfulness of product claims and for providing substantiation. Compliance acknowledgment: Acknowledged

Exclusivity

Client requests exclusivity for the Campaign. If exclusivity is selected, the parties agree the scope and fee are as follows.

Term and Termination

The Agreement commences on the Effective Date and continues until the Campaign End Date, unless earlier terminated in accordance with this section.

Confidentiality, Representations and Indemnities

Limitation of Liability and Insurance

Except for breaches of confidentiality, gross negligence, or willful misconduct, neither party will be liable to the other for consequential, incidental, or punitive damages. The parties' aggregate liability for direct damages arising from this Agreement will not exceed the total fees paid under this Agreement in the three months preceding the claim.
