Ownership of Work Product: Client shall own final deliverables as Work Made for Hire OR Agency will assign all right, title, and interest in final deliverables upon full payment. Pre-existing Agency IP and third-party tools remain Agency property unless expressly assigned in writing.

FTC Disclosure and Paid Promotion Compliance

Agency and Client acknowledge that any paid search or promotional content is subject to applicable advertising disclosure laws and guidelines. Agency will include clear and conspicuous disclosures for paid placements and sponsored content where required.

Agency Compliance Acknowledgement: Agency will ensure required disclosures are present in ads and landing pages. Client acknowledges responsibility to approve final disclosure language.

Exclusivity

Exclusive Representation for SEM: If checked, Client agrees not to retain other agencies for identical SEM scope during the Exclusivity Period described below.

Confidentiality and Data Use

Representations, Warranties, and Insurance

Each party represents and warrants that it has the authority to enter this Agreement and that deliverables shall not infringe third-party rights. Agency warrants that it will perform services in a professional and workmanlike manner.

Indemnification and Limitation of Liability

Each party shall indemnify the other for claims arising from breach of representations, willful misconduct, or gross negligence. Except for willful misconduct or indemnity obligations, neither party's aggregate liability shall exceed the total fees paid under this Agreement.

Termination

This Agreement may be terminated by either party upon written notice. Termination shall not relieve Client of payment obligations for services performed and for pre-approved expenses incurred through the effective date of termination.
