Ownership and license: Agency retains ownership of pre-existing methodologies, tools, templates, proprietary scripts, and know‑how used to perform the Audit. Agency hereby grants Client a perpetual, non‑exclusive, non-transferable license to use, reproduce and display the Deliverables solely for Client's internal business purposes. Any redistribution, resale, or sublicensing of the Deliverables to third parties requires Agency's prior written consent.

Confidentiality & Data Access

Confidential information: Each party agrees that confidential information obtained from the other party in connection with this Audit will be used solely to perform the obligations set forth and will not be disclosed to third parties except as required by law. Client grants Agency access to necessary accounts and analytics; Agency will treat access credentials as confidential and will not use them for other clients without express permission.

Exclusivity

Unless otherwise agreed in writing, Client is free to engage third parties for SEO work. If Client desires exclusivity for the scope described, specify term and conditions below.

Termination

Either party may terminate this engagement for convenience upon providing written notice to the other party. Upon termination, Client will pay for all work performed to the date of termination. If Agency has already commenced work and Client terminates without cause, Client agrees to pay a kill fee equal to the greater of (a) fees for work completed to date, or (b) one third of the remaining contract value.

Representations, Warranties & Liability

Agency warrants that it will perform services in a professional manner consistent with industry standards. Agency does not warrant placement, ranking, or specific traffic improvements. Except for willful misconduct or gross negligence, each party's aggregate liability under this agreement will be limited to the total fees paid by Client to Agency under this engagement. Neither party will be liable for incidental or consequential damages.

Indemnification

Each party will indemnify and hold the other harmless from third‑party claims arising out of the indemnifying party's breach of this Agreement, negligence, or willful misconduct. The indemnified party will provide prompt notice of any claim and reasonable cooperation in defense.

FTC Disclosure Compliance

Agency and Client acknowledge obligations under applicable advertising, endorsement and disclosure laws and agree that any public‑facing materials that reference this commercial relationship, findings, or recommendations will include clear and conspicuous disclosure of material connections between the parties when required by law.
