Recitals

This Marketing SEO Contract (the "Agreement") is entered into by and between the Brand/Client identified above and the Agency/SEO Provider identified above. The Agency will perform search engine optimization services and related marketing activities as set forth in this Agreement and its Exhibits in consideration of the fees and other terms set forth below.

Campaign & Objectives

Scope of Work

The Agency shall provide SEO services including technical site audit, on-page optimization, keyword research, content recommendations, link-building outreach, and monthly performance reporting. The specific deliverables, frequencies, and deadlines are set forth below.

Deliverables & Schedule

The Agency will deliver the following items. Each deliverable will be deemed accepted by the Brand if no written objection is received within ten (10) business days of delivery, subject to the revision allowance described below.

Milestones & Payment Schedule

Expenses & Third-Party Costs

Client will reimburse reasonable pre-approved third-party expenses (such as paid search or third-party content creation) incurred by Agency in connection with the Campaign. Expenses above the pre-approved cap require written approval from Client.

Performance Standards & Reporting

Agency will exercise commercially reasonable efforts consistent with industry practice. Client acknowledges that SEO performance is affected by third-party factors and that Agency does not guarantee specific ranking positions unless explicitly stated in writing as a separate performance addendum.

Ownership & License

Subject to Client's timely payment of all fees, Agency hereby assigns to Client all right, title and interest in and to final deliverables created exclusively for Client under this Agreement. Agency retains ownership of pre-existing materials, proprietary tools, methodologies and general know-how used to create deliverables.

FTC & Disclosure Compliance

If any deliverables include endorsements, reviews, sponsored content or placements that could be perceived as advertising, the parties agree to comply with applicable disclosure laws and consumer protection rules requiring clear and conspicuous disclosure of material connections. The Agency will implement Client-approved disclosure language where required.

Exclusivity

Client may request exclusivity within a defined product category or keyword set. Exclusivity, if granted, must be explicit, paid for, and limited in scope and duration as set forth below.

Termination

Either party may terminate this Agreement for material breach if the breaching party fails to cure within the cure period after written notice. Client may terminate for convenience upon specified notice and payment of the kill fee described below.

Confidentiality

Each party shall maintain the confidentiality of the other's confidential information and use it only for performance of this Agreement. Confidential information does not include information that is publicly known or independently developed without the use of confidential information.

Representations, Warranties & Indemnification

Each party represents it has the authority to enter into this Agreement. Agency warrants deliverables will not infringe third-party IP rights to the best of Agency's knowledge. Each party will indemnify the other against third-party claims arising from breach of representations or the other party's negligence.

Limitation of Liability

Except for indemnification obligations or willful misconduct, neither party will be liable for consequential, incidental or punitive damages. Agency's aggregate liability for any claim arising under this Agreement will not exceed the total fees paid by Client to Agency in the six (6) months preceding the claim.
