ACCESS, COOPERATION & CLIENT RESPONSIBILITIES

Agency shall use commercially reasonable efforts to complete Services but is not responsible for search engine algorithm changes beyond Agency's control. Client acknowledges that results are not guaranteed and that Agency does not engage in practices that knowingly violate search engine terms of service.

INTELLECTUAL PROPERTY & LICENSE

Unless otherwise agreed in writing, Agency retains ownership of pre-existing methodologies, tools, templates and background IP. Agency grants Client a non-exclusive, non-transferable license to use Deliverables for Client's internal business purposes as of final payment. If parties wish to transfer ownership of custom-created content, specify below.

CONFIDENTIALITY

FTC DISCLOSURE COMPLIANCE

If deliverables include endorsements, reviews or content that could be construed as sponsored or promotional, both parties will ensure disclosures are clear, conspicuous and compliant with applicable advertising laws and regulations. Client agrees to timely review and approve required disclosures.

EXCLUSIVITY

Unless otherwise agreed in writing, this Agreement does not grant Agency exclusivity. To request exclusivity, indicate below and specify scope and duration; exclusivity shall be effective only upon written agreement and additional consideration.

TERM & TERMINATION

This Agreement commences on the Effective Date and continues until completion of Services unless earlier terminated in accordance with this section.

WARRANTIES, INDEMNITY & LIMITATION OF LIABILITY

Agency represents that it will perform services with reasonable skill and care. EXCEPT FOR THE FOREGOING, SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. Each party shall indemnify and hold harmless the other from third-party claims arising from the indemnifying party's breach or negligence. Neither party's aggregate liability for direct damages arising under this Agreement shall exceed the fees paid by Client to Agency in the preceding six (6) months; in no event shall either party be liable for consequential or punitive damages.

DATA PROTECTION

Each party will process personal data in compliance with applicable data protection laws. Agency will implement appropriate technical and organizational measures to protect personal data processed in connection with the Services.

GOVERNING LAW & DISPUTE RESOLUTION

Any dispute arising under this Agreement shall be resolved first through good faith negotiations. If unresolved, the dispute will be resolved in the courts of the governing jurisdiction or by binding arbitration if the parties mutually agree.

NOTICES

Notices permitted or required under this Agreement must be in writing and delivered to the contact information set forth in the Parties section above or to such other address as a party may specify in writing in accordance with this provision.
