INTELLECTUAL PROPERTY & USAGE RIGHTS

Any content created exclusively for Client shall be transferred to Client upon full payment, except where third-party licenses restrict transfer.

FTC DISCLOSURE COMPLIANCE

Client acknowledges that it is responsible for ensuring required disclosures are made in public-facing content and for reviewing content provided by Agency for compliance prior to publication.

Limitation of Liability: Except for liability arising from willful misconduct or gross negligence, each party's aggregate liability to the other under this Agreement shall not exceed the total fees paid by Client to Agency in the six (6) months preceding the claim or , whichever is less.
