License Grant: Agency grants Brand a non-exclusive, worldwide, perpetual license to use deliverables produced pursuant to this Scope for the Brand's marketing purposes, subject to full payment. If the parties select a limited license instead, specify limitations below.

Ownership: Pre-existing materials and third-party assets remain with their owner. Agency assigns to Brand ownership of original content specifically commissioned and paid for under this Scope, subject to third-party rights and any open-source or licensed components identified in writing prior to delivery.

Exclusivity & FTC Compliance

Exclusivity: Client requires exclusivity for specified keywords, product categories or channels. If selected, describe scope and duration below.

FTC Disclosure Compliance: Agency and Brand agree that all influencer endorsements, sponsored content and paid placements will include clear and conspicuous disclosures that identify material connections. Agency will advise on required disclosures and include them in deliverables where the Agency produces or places promotional content.

Termination & Remedies

Either party may terminate this Scope for convenience with advance written notice of days. Termination for material breach may be immediate if the breaching party fails to cure within days after written notice.

Kill Fee: If Client terminates for convenience prior to substantial completion, Client will pay the Kill Fee specified above and all unpaid fees for work performed to date.

Representations, Warranties & Indemnities

Each party represents that it has the authority to enter into this Scope. Agency warrants that deliverables will not knowingly infringe third-party intellectual property rights and will comply with applicable advertising and consumer protection laws. Agency will indemnify and defend Brand against claims arising from Agency's breach of these warranties, subject to the limitations set forth below.

Confidential Information disclosed in connection with this Scope shall be used only for performance hereunder and protected by reasonable measures. This Scope constitutes the entire agreement for the SEO services described herein and supersedes prior written agreements regarding the same subject matter.
