Deliverables & Schedule

Client review and written approval of deliverables is required within business days of delivery. Failure to respond is deemed approval.

Usage Rights & Intellectual Property

Ownership of delivered content and assets shall vest as follows: Client shall own final deliverables upon full payment. Agency retains ownership of pre-existing materials, proprietary tools, templates, methodologies, and confidential databases. Agency hereby grants Client a perpetual, non-exclusive, worldwide license to use the Agency-owned elements incorporated into the deliverables solely as incorporated into the final deliverables.

Confidentiality

Each party shall maintain in confidence all proprietary information disclosed by the other party and shall not use such information except to perform its obligations under this Agreement. Confidential information does not include information that is or becomes publicly known through no breach by the receiving party or is independently developed without use of the disclosing party's confidential information.

FTC Disclosure Compliance

Both parties acknowledge and agree to comply with applicable consumer protection and advertising disclosure requirements in connection with promotional content. The Agency will advise on appropriate disclosure language where required; final responsibility for timely and accurate disclosure rests with the Client when the Client controls publication.

Termination

Either party may terminate this Agreement for convenience upon days' prior written notice. Termination for material breach shall be effective upon ten (10) days' written notice if the breach remains uncured. Upon termination, Client shall pay for all services performed and expenses incurred through the effective date of termination.

Warranties, Disclaimers & Liability

Agency warrants that services will be provided in a professional manner consistent with generally accepted industry standards. Because search algorithms and third-party indexing are outside of Agency control, Agency does not warrant specific search engine rankings, traffic volumes, or placement. Client acknowledges that results may vary.

Indemnification: Each party shall indemnify and hold harmless the other party from third-party claims arising from the indemnifying party's breach of its representations, willful misconduct, or negligence. Limitation of Liability: Except for willful misconduct or gross negligence, each party's liability to the other shall be limited to direct damages not to exceed the total fees paid to Agency under this Agreement in the twelve (12) months preceding the claim.

Representations & Compliance

Each party represents that it has the full right, power, and authority to enter into this Agreement, that it will comply with applicable laws in performing its obligations, and that materials provided to the other party do not infringe third-party rights.

General Provisions

Force Majeure: Neither party shall be liable for delays resulting from causes beyond its reasonable control. Assignment: Neither party may assign this Agreement without the other party's prior written consent, except to a successor in interest to substantially all of its business. Amendment: Any modification must be in writing and signed by both parties. This Agreement constitutes the entire agreement between the parties with respect to the subject matter herein.
