Intellectual Property and License

Ownership of intellectual property and rights in materials created under this Agreement shall be governed as follows. Unless otherwise agreed in writing, the parties agree to the allocations below.

FTC Disclosure and Compliance

Agency/Creator represents and warrants that all endorsements, sponsored posts, and influencer content will be clearly and conspicuously identified as sponsored content in accordance with applicable advertising and consumer protection standards. Agency/Creator shall include required disclosures on each applicable placement.

Exclusivity

The parties agree that during the Term, Agency/Creator shall not provide promotional services for direct competitors of Brand/Client in the product categories set forth below unless otherwise agreed in writing.

Term and Termination

This Agreement commences on the Effective Date and shall continue for the Term specified below unless earlier terminated in accordance with this Agreement.

Confidentiality

Representations, Indemnification and Limitation of Liability

Each party represents that it has the authority to enter into this Agreement. Agency/Creator represents that deliverables will not infringe third-party rights and will comply with applicable laws. Agency/Creator shall indemnify and hold harmless Brand/Client from third-party claims arising from Agency/Creator's breach or negligence. Except for indemnification and willful misconduct, neither party's aggregate liability shall exceed the amounts paid under this Agreement in the prior twelve months.
