Terms, Changes & Cancellation

Change Orders: Any changes to scope, materials, dimensions or quantities will be documented by the vendor as a written change order. Client approval and signed change order are required prior to execution. Vendor is not responsible for delays that result from late approvals or additional artwork revisions.

Cancellation: If Client cancels after production has commenced, Client will be responsible for all costs incurred plus a reasonable cancellation fee equal to the greater of 20% of the cancelled portion of the Quote or documented non-recoverable vendor expenses. If cancellation occurs prior to production start, deposit may be retained as a kill fee.

Intellectual Property & Usage Rights

Ownership: Client retains ownership of Client-provided artwork and trademarks. Vendor retains ownership of vendor-originated tooling, templates and manufacturing processes. Vendor is granted a limited, non-exclusive license to reproduce Client-supplied artwork solely for the purposes of performing production and installation under this Quote.

License for Marketing Use: Client grants Vendor a limited, non-exclusive right to photograph installed signage for Vendor promotional, portfolio and case study use unless Client checks the box below indicating restriction.    Restrict promotional photography

Warranty, Indemnity & Liability

Warranty: Vendor warrants workmanship and materials against defects for a period specified in this Quote. Warranty does not cover damage due to vandalism, exposure beyond normal outdoor conditions, unauthorized modification, or improper maintenance. Remedies are limited to repair or replacement at vendor's discretion.

Indemnity: Each party agrees to indemnify and hold harmless the other party from third-party claims arising out of its negligence, willful misconduct or breach of representations in this Quote. Neither party shall be liable for incidental or consequential damages exceeding the total amount paid under this Quote.

Compliance & Disclosures

Legal Compliance: Vendor will comply with applicable laws, codes and permitting requirements for production and installation. Client is responsible for obtaining any necessary site permissions or landlord approvals prior to installation unless otherwise agreed in writing.

Advertising Disclosures: All signage content must comply with applicable advertising and disclosure obligations. Client certifies that content provided for production does not misrepresent products, services or endorsements and will include any required disclosures intelligible to the intended audience.
