This Marketing Signs Agreement ("Agreement") is entered into by and between Brand/Client: and Agency/Creator: . Effective Date:

The Agency will design, produce, and (if agreed) install physical marketing signs and associated hardware for the Client to promote the Client's marketing campaign as described in this Agreement. The parties intend that the Agency deliver the signs, secure any required approvals or permits as specified, and grant the Client the usage rights set forth herein.

Late payment: unpaid amounts incur interest at the lesser of 1.5% per month or the maximum permitted by law. Client shall pay reasonable collection costs and attorneys' fees for overdue balances.

Ownership of custom artwork and signage components shall be as follows. The Agency retains ownership of pre-existing materials, tools, and templates. Upon full payment, the Client is granted a non-exclusive, transferable (or non-transferable if checked) license to use the delivered sign artwork and digital files for display at the agreed locations and related promotional activities. Exclusivity: Client grants Agency exclusive rights for sign production in the defined territory for the campaign term. No exclusivity; Client may contract with others.

Where signage or promotion requires material disclosure or sponsorship attribution under applicable advertising and endorsement laws and regulations, the Agency and Client shall ensure that disclosures are clear, conspicuous, and compliant. Client represents it will provide required disclosure language and the Agency will incorporate the disclosure as approved for printed and installed materials.

10. Termination and Kill Fee

Either party may terminate this Agreement for material breach if the breaching party fails to cure within days after written notice. If the Client terminates without cause after production has commenced, Client shall pay a kill fee equal to:

Agency warrants that signs will conform to agreed specifications and be free from material defects for a period of from installation. Remedy for breach of warranty shall be, at Agency's election, repair or replacement of defective components. Warranty does not cover damage due to vandalism, acts of God, or misuse.

12. Insurance and Indemnity

Agency shall maintain commercial general liability insurance with limits not less than per occurrence and name Client as additional insured when required. Each party shall indemnify and hold harmless the other from third-party claims arising from its negligent acts or willful misconduct.

13. Confidentiality

Each party shall keep confidential all non-public business information disclosed in connection with this Agreement and shall not use such information except to perform its obligations. Confidential information shall not include information that is publicly known without breach or that is required to be disclosed by law.

14. Force Majeure

Neither party shall be liable for delay or failure to perform resulting from causes beyond its reasonable control, including acts of God, government action, labor disputes, or supply chain interruptions. Affected performance timelines will be extended by the period of delay.

This Agreement will be governed by the laws of the state specified by the Client at signing. The parties will attempt in good faith to resolve disputes through negotiation for 30 days; if unresolved, the parties agree to binding arbitration under commercial arbitration rules chosen by mutual agreement.
