MARKETING SOCIAL MANAGEMENT AGREEMENT

This Marketing Social Management Agreement (the Agreement) is entered into as of by and between:

RECITALS

WHEREAS, Brand / Client desires to engage Agency / Creator to provide social media management and content production services for the campaign described below; and WHEREAS Agency / Creator has the expertise and capacity to provide such services under the terms and conditions set forth in this Agreement.

SCOPE OF SERVICES

Agency / Creator shall perform social media management, creative content production, community engagement, and reporting (the Services) in accordance with deliverables, schedules, and specifications set forth in this Agreement and any attachments hereto.

DELIVERABLES AND SCHEDULE

The following deliverables shall be provided by Agency / Creator. Each deliverable must meet the specifications agreed and timelines below.

Client will provide consolidated feedback within business days of submission. Number of included revision rounds: . Additional revisions billed at Agency / Creator's standard hourly rate unless otherwise agreed in writing.

COMPENSATION & PAYMENT

Agency / Creator will invoice Client in accordance with the Payment Schedule. Client shall pay undisputed invoices within days of receipt. Late payments accrue interest at per month.

Client will reimburse pre-approved out-of-pocket expenses. Pre-approval required in writing for any single expense in excess of . Reimbursable expenses shall be invoiced separately and supported by receipts.

USAGE RIGHTS & INTELLECTUAL PROPERTY

Subject to full payment of all amounts due, Agency / Creator hereby grants to Client a worldwide, non-exclusive, transferable, fully paid license to use, reproduce, distribute, display and perform the final Deliverables for the purposes described in this Agreement for the duration set forth below. Notwithstanding the foregoing, Agency / Creator retains ownership of all underlying pre-existing intellectual property, templates, methodologies, and artistically distinct elements not specifically created for Client.

Sublicensing permitted: ; Agency / Creator retains the right to include Deliverables in portfolio and promotional materials unless Client marks the Deliverables as confidential below.

FTC DISCLOSURE COMPLIANCE

The parties acknowledge that all sponsored content, endorsements, and paid placements must comply with applicable advertising and disclosure obligations. Agency / Creator shall include clear and conspicuous disclosures as required by applicable advertising regulations and platform rules.

TERMINATION

Either party may terminate this Agreement for convenience upon days' prior written notice. Either party may terminate immediately for material breach that remains uncured for a period of days after written notice. Upon termination, Client shall pay Agency / Creator for Services performed and non-cancellable expenses incurred through the effective date of termination.

CONFIDENTIALITY

Each party shall maintain in confidence all confidential or proprietary information disclosed by the other party and shall not use such information except to perform under this Agreement. Confidentiality obligations shall survive termination for a period of unless otherwise required by law.

REPRESENTATIONS, WARRANTIES, AND INDEMNITY

Each party represents and warrants that it has full right, power, and authority to enter into this Agreement and to perform its obligations. Agency / Creator warrants that Deliverables will be original and will not infringe third-party rights. Client warrants that any materials it provides do not violate third-party rights.

Each party shall indemnify, defend and hold harmless the other from and against any losses, liabilities, damages, costs and expenses (including reasonable attorneys' fees) arising from a breach of its representations, warranties, or obligations under this Agreement; provided, however, that the indemnifying party shall have the right to control the defense and settlement of any claim.

LIMITATION OF LIABILITY

Except for liability arising from willful misconduct or gross negligence, or each party's indemnification obligations, neither party's aggregate liability for claims arising out of or relating to this Agreement shall exceed the total fees paid to Agency / Creator under this Agreement in the twelve (12) months preceding the claim.

INSURANCE

Agency / Creator shall maintain commercial general liability and professional liability insurance in amounts customary for services of this type. Upon request, Agency / Creator will furnish certificates evidencing such coverage.

MISCELLANEOUS

Governing law: . Any dispute arising under this Agreement shall be resolved by good faith negotiation, and if unresolved, binding arbitration or litigation as selected by the parties.

Force majeure: Neither party shall be liable for delays or failures due to causes beyond its reasonable control.
