Usage Rights and Intellectual Property

Creator grants Brand a non-exclusive, worldwide license to use, reproduce, display, distribute, adapt and create derivative works of the Deliverables for the purposes set forth in this Agreement, subject to the limitations below. The parties may modify the scope of rights as follows:

Creator warrants that it has the full right to grant the rights set forth above and that Deliverables will not infringe third-party rights. Ownership of pre-existing materials and third-party components remains with their respective owners unless assigned in writing.

Term and Termination

This Agreement commences on the Effective Date and continues until completion of the Deliverables unless earlier terminated as set forth herein. Either party may terminate for material breach if the breaching party fails to cure within the notice period set forth above.

Confidentiality

Each party shall maintain confidential information received from the other party in strict confidence and shall only use such information for performance under this Agreement. Confidentiality obligations survive termination for a period of two (2) years.

Representations; Indemnification; Limitation of Liability

Each party represents that it has the power and authority to enter into this Agreement. Creator shall indemnify and hold Brand harmless from claims arising out of Creator’s breach of the representations and warranties, negligence, or willful misconduct. Except for liability resulting from gross negligence or willful misconduct, the parties' aggregate liability under this Agreement shall not exceed the total fees paid to Creator under this Agreement.

Reporting and Metrics

Creator shall provide performance reports for each Deliverable containing the agreed metrics (e.g., impressions, reach, engagement) at the frequency below.

Miscellaneous
