MARKETING SOCIAL MEDIA CONTRACT

This Marketing Social Media Contract (the "Agreement") is entered into as of Effective Date: by and between:

DELIVERABLES

The Creator shall produce the following deliverables in accordance with the specifications and delivery dates set forth below. Each deliverable shall be subject to the approval process in this Agreement.

If additional deliverables are required, parties shall execute a written amendment specifying scope and fees prior to commencement of such additional work.

COMPENSATION & PAYMENT

Invoicing: Creator shall submit invoices to Brand. Payment is due within days of receipt of an undisputed invoice. Late payments accrue interest at the lesser of 1.5% per month or the maximum permitted by law.

USAGE RIGHTS & INTELLECTUAL PROPERTY

License Grant: Creator grants to Brand a non-exclusive/non-transferable (select below) license to use, reproduce, distribute, display, and perform the final deliverables for the Term, Territory, and Channels specified herein unless otherwise agreed in writing.


Creator's Portfolio Right: Creator may retain rights to share deliverables in portfolio and self-promotion unless Brand checks below to prohibit portfolio use.

FTC DISCLOSURE & COMPLIANCE

Creator shall comply with all applicable advertising, privacy, and platform-specific rules, including making clear and conspicuous disclosures of paid or material connections in all content. Creator will use the following disclosure language or equivalent required by law:

EXCLUSIVITY

During the Exclusivity Period specified below, Creator shall not enter into paid agreements with direct competing brands for products or services in the same product category without Brand's prior written consent.

TERMINATION

Either party may terminate this Agreement upon written notice. For convenience termination, the terminating party shall provide at least days' written notice. Termination for cause may be immediate upon material breach if such breach is not cured within days after written notice.

APPROVALS, REVISIONS & SCHEDULE

Approval Process: Brand shall provide feedback or approval within business days of receiving each draft. Creator shall provide up to rounds of revisions per deliverable as part of the agreed fee; additional revisions will be billed at a rate agreed in advance.

REPORTING & METRICS

REPRESENTATIONS, WARRANTIES & INDEMNIFICATION

Creator represents and warrants that: (a) Creator has full right and authority to enter into this Agreement and to deliver the Content; (b) Content shall be original and not infringe third-party rights; and (c) Creator will comply with all laws and platform rules. Creator shall indemnify and hold harmless Brand from any claims arising from Creator's breach of these representations. Brand shall indemnify Creator for claims arising from Brand-provided materials or brand instructions that infringe third-party rights.

CONFIDENTIALITY

Each party shall maintain in confidence all non-public information disclosed by the other party and shall not use such information except to perform this Agreement. Confidentiality obligations shall survive termination for a period of two years.

LIMITATION OF LIABILITY

Except for indemnification obligations and willful misconduct, neither party shall be liable for special, incidental, consequential, or punitive damages. The aggregate liability of either party for any claim arising from or related to this Agreement shall not exceed the total fees paid by Brand to Creator under this Agreement.

GENERAL PROVISIONS

Governing Law: This Agreement shall be governed by the laws of the state of without regard to conflict of law principles. Dispute Resolution: Parties shall first attempt good faith negotiation; unresolved disputes shall be resolved by binding arbitration in the county of the Brand's principal place of business unless parties agree otherwise.

Force Majeure: Neither party shall be liable for delays due to causes beyond its reasonable control provided notice is promptly given and the delayed party uses commercially reasonable efforts to resume performance.

Entire Agreement: This Agreement, together with any attachments and approved statements of work, constitutes the entire agreement between the parties and supersedes all prior discussions. Amendments must be in writing and signed by authorized representatives of both parties.
