Deliverables and Schedule

The Agency will produce the following deliverables. Additional deliverables, quantities or revisions shall be set forth in written change orders signed by both parties.

Brand shall pay Agency the fees and reimburse authorized expenses described below in consideration for the Deliverables.

Agency will be reimbursed for pre-approved, reasonable out-of-pocket expenses incurred in performance. Pre-approval must be obtained in writing from Brand.

Usage Rights and Intellectual Property

Upon full payment of amounts due, Agency hereby grants Brand a worldwide, non-exclusive, transferable license to use the final Deliverables for the purposes described in this Agreement, subject to the ownership and moral rights provisions below.

Unless otherwise agreed in writing, Agency retains ownership of pre-existing materials and underlying intellectual property; Brand receives ownership or exclusive rights in final Deliverables only as explicitly conveyed above.

FTC Disclosure Compliance

All sponsored social posts must include clear and conspicuous disclosure of material connection (e.g., "ad", "sponsored", or similar) at the time of posting in manners consistent with platform rules.

Unless otherwise specified below, Agency is free to provide services to other clients. Any exclusivity agreed below must be expressly described, including scope and duration.

Approval, Revisions & Reporting

Brand will review deliverables within the agreed review period. Agency will make up to the number of revisions specified below without additional charge; additional revisions will be billed at the Agency's standard hourly rate.

Termination

Either party may terminate this Agreement for convenience upon written notice. Termination for cause is permitted where a material breach remains uncured after notice and the opportunity to cure within the time set forth below.

Representations, Warranties & Indemnity

Each party represents that it has the authority to enter this Agreement. Agency warrants that Deliverables will not infringe third-party rights and will comply with applicable laws. Agency will indemnify Brand for claims arising from Agency's breach, negligence, or infringement.

Confidentiality

Each party shall keep confidential any non-public information obtained from the other party and shall not use it except to perform obligations under this Agreement. Confidentiality obligations survive termination for the period specified below.

Taxes, Payment Mechanics, and Remedies

All fees are exclusive of taxes. Brand shall pay invoices within the payment terms set forth in this Agreement. Late payments accrue interest at the lesser of 1.5% per month or the maximum permitted by law. Non-payment is a material breach and entitles Agency to suspend services after notice.

Miscellaneous

This Agreement constitutes the entire agreement with respect to its subject matter and supersedes prior understandings. Amendments must be in writing and signed by authorized representatives. If any provision is unenforceable, the remainder shall remain in effect.

What the Marketing Social Media Support Agreement Is

A Marketing Social Media Support Agreement is a written contract that defines services, responsibilities, and terms between a client and a provider who manages social media activities. It typically covers scope of work, deliverables, posting schedules, content approval, reporting metrics, payment terms, intellectual property ownership, confidentiality, and termination. The agreement clarifies expectations to reduce disputes, sets performance and measurement criteria, and establishes legal remedies and data-handling rules. It can be executed electronically under U.S. e-signature laws when the parties meet intent, consent, attribution, and retention requirements.

Why a Clear Agreement Benefits Both Parties

A clear Marketing Social Media Support Agreement reduces ambiguity about services, timelines, and ownership, lowering the risk of disputes and missed deliverables.

Why a Clear Agreement Benefits Both Parties

Who Typically Uses This Agreement

These agreements are used by businesses and service providers to formalize social media support relationships before work begins.

  • Marketing agencies and social media teams that manage multiple client accounts and need consistent scope and billing terms.
  • Freelancers and consultants who provide posting, creative, or analytics services and require clear payment and IP terms.
  • In-house marketing departments outsourcing specific campaigns or channel management and needing defined SLAs and reporting.

Use the contract to define responsibilities, permissions, and escalation paths so both sides have a single reference for performance and payment.

Core Sections to Include in a Professional Agreement

A robust Marketing Social Media Support Agreement groups the core commercial and legal points into discrete sections so obligations are easy to find and enforce.

Scope of Services

Describe specific channels, content types, posting frequency, campaign tasks, and any exclusions so deliverables are unambiguous and measurable.

Deliverables

List content assets, formats, file types, reporting cadence, sample approvals, and acceptance criteria to avoid later scope disputes.

Posting Schedule

Define publishing windows, time zones, content calendars, approval lead times, and turnaround times for edits and revisions.

Compensation

State fees, billing cadence, invoicing terms, late payment consequences, reimbursable expenses, and any performance-based bonuses.

Intellectual Property

Specify ownership of created content, license grants, moral rights waiver (if applicable), and how third-party assets are handled.

Privacy and Compliance

Address data handling, privacy law compliance, required notices, and whether a HIPAA BAA or other addendum is needed.
