MARKETING SOCIAL SELLING CONTRACT

PARTIES AND EFFECTIVE DATE

This Marketing Social Selling Contract (the Agreement) is entered into as of (Effective Date), by and between:

DELIVERABLES

Seller shall produce the following deliverables in accordance with the specifications, quantities and deadlines listed below. Unless otherwise agreed in writing, all deliverables shall conform to the Brand's reasonable content guidelines and applicable platform policies.

Additional deliverables, revisions, and timing shall be documented in a written statement of work signed by both parties. Seller is responsible for the technical quality of content and for complying with platform terms.

COMPENSATION AND PAYMENT

Late payments shall incur interest at the lesser of 1.5% per month or the maximum permitted by law. Seller shall invoice Brand in accordance with the payment schedule. Payment is due within days of receipt of an undisputed invoice.

USAGE RIGHTS, LICENSE AND OWNERSHIP

Subject to full payment, Seller grants Brand a non-exclusive/ exclusive license (select below) to use the deliverables as set forth in this Agreement.

Unless otherwise agreed in writing, Seller retains copyright in raw creator content; Brand obtains the license rights granted above. Where the parties agree on assignment, such assignment must be expressed in a separate written provision signed by both parties.

FTC DISCLOSURE AND COMPLIANCE

Seller acknowledges that all sponsored content must contain clear and conspicuous disclosures that the post is sponsored or includes affiliate links in accordance with applicable advertising and consumer protection laws and platform rules.

EXCLUSIVITY

Unless an exclusivity obligation is expressly checked below, Seller remains free to engage with other brands. If exclusivity is required, the scope, duration, and compensation must be set forth below.

TERMINATION AND KILL FEE

Either party may terminate this Agreement for material breach if such breach is not cured within the notice period set forth below. Brand may also terminate for convenience upon written notice to Seller and shall pay any applicable kill fee as provided.

INTELLECTUAL PROPERTY AND THIRD-PARTY MATERIALS

Seller represents and warrants that deliverables are original, do not infringe third-party rights, and that Seller has secured all necessary permissions for third-party content. Brand shall indemnify Seller only to the extent Brand supplies infringing materials or directives contrary to law.

CONFIDENTIALITY

Each party shall keep confidential all non-public business information disclosed in connection with this Agreement and shall not disclose such information except as required by law or with prior written consent. Confidentiality obligations survive termination for three years unless otherwise agreed.

WARRANTIES, REPRESENTATIONS AND INDEMNIFICATION

Seller warrants that posted content will be original and disclose paid status; Brand warrants it has authority to use provided assets. Each party shall indemnify the other against third-party claims arising from breaches of these warranties, subject to the limits below.

REPORTING, METRICS, AND AUDIT RIGHTS

Seller will provide Brand with performance metrics reasonably available from platform analytics (e.g., impressions, clicks, conversions) within the timeline agreed in the statement of work. Brand may request reasonable verification of reported metrics.

COMPLIANCE WITH LAWS AND PLATFORM POLICIES

Each party shall comply with all applicable laws, advertising regulations, and platform terms. Seller shall not engage in prohibited practices such as buying fake engagement or falsifying metrics. Material noncompliance is a material breach.

NOTICES

All notices under this Agreement must be in writing and delivered to the addresses specified below. Notices are effective upon receipt.

GOVERNING LAW AND DISPUTE RESOLUTION

This Agreement shall be governed by the laws of the state specified below without regard to conflict of laws principles. The parties shall first attempt to resolve disputes in good faith prior to initiating formal proceedings.

MISCELLANEOUS

This Agreement constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior agreements. Any amendment must be in writing and signed by both parties. If any provision is held invalid, the remaining provisions will remain in effect.
