Termination

Upon termination, Brand shall pay for all completed and properly delivered work and reasonable pre-approved expenses; refund or adjustment for undelivered work will be governed by the payment schedule and any applicable kill fee indicated above.

Representations, Warranties and Indemnification

Creator represents and warrants that: (a) Creator is the sole author of the deliverables or has secured all rights necessary to grant the licenses herein; (b) deliverables do not infringe third-party rights; and (c) Creator will comply with applicable laws and platform rules. Creator will indemnify and hold Brand harmless from third-party claims arising from Creator's breach of these representations.

Limitation of Liability: Except for indemnification obligations and willful misconduct, neither party's aggregate liability for direct damages shall exceed the total fees paid under this Offer.

Confidentiality

Confidential Information disclosed by either party shall be used solely to perform this Offer and not disclosed to third parties except as required by law. Confidentiality obligations will survive termination for a period of .
