All payments not received when due shall accrue interest at the lesser of 1.5% per month or the maximum permitted by applicable law. Client shall reimburse pre-approved out-of-pocket expenses incurred by Agency in performance of the services upon presentation of reasonable documentation.

Usage Rights and Intellectual Property

The parties agree the following with respect to ownership and permitted uses of materials created under this solicitation. Check the selected ownership model and complete supplemental fields as applicable.

Client receives a perpetual, worldwide, non-exclusive license to use deliverables solely for the Campaign described above, subject to payment in full.
Agency retains ownership of creative materials and grants Client a limited license as set forth in a separate license schedule.

Compliance and Disclosures

The Agency represents that it will comply with all applicable advertising and disclosure laws, including applicable federal and state advertising and endorsement rules. Agency shall ensure that all influencer or paid promotional content contains clear and conspicuous disclosures as required by law.

Agency acknowledges and agrees to include clear and conspicuous disclosures for sponsored content and to provide copies of required disclosures to Client upon request.

Exclusivity

The parties may agree to exclusivity for the Campaign term. If selected, Client will pay an exclusivity fee as set out below. Exclusivity restricts the Agency and any named Creators from promoting directly competitive products as defined in the exclusivity scope.

Either party may terminate this Solicitation Letter and any resulting contract as provided below. Termination shall not relieve the Client of its obligation to pay for services performed and non-cancellable commitments made prior to the effective date of termination.

Confidentiality, Indemnity and Governing Law

Each party shall keep confidential the other party's non-public information disclosed in connection with this engagement. Agency shall indemnify and hold Client harmless from third-party claims arising from Agency materials that infringe third-party intellectual property rights, except to the extent such claims arise from Client-provided materials or instructions.

Acceptance and Binding Offer

By signing below, the Brand and the Agency acknowledge that this proposal is a binding offer to enter into the described engagement on the terms set forth herein. Any material change to deliverables, schedule, or compensation requires a written amendment signed by both parties.
