MARKETING SOLUTIONS CONTRACT

This Marketing Solutions Contract (the Agreement) is entered into as of Effective Date: by and between:

WHEREAS, Brand seeks marketing services and solutions to advance Brand's products, services, or reputation; and WHEREAS, Agency represents that it has the capability and expertise to provide the services described in this Agreement. The parties agree as follows.

3. Compensation and Payment

Brand shall pay Agency the fees and expenses described below in consideration for the services and deliverables.

4. Usage Rights and Intellectual Property

Upon full payment, Agency grants Brand the following license for the Deliverables, subject to any exclusions set forth below.



5. FTC Disclosure Compliance

Agency and Brand each represent and warrant that any paid, sponsored, or native content will prominently and clearly disclose the material connection between Brand and Agency in accordance with applicable advertising and consumer protection laws and regulations.

6. Exclusivity

If exclusivity is elected, Agency will not perform substantially similar services for direct competitors of Brand during the Term set forth below, except as expressly permitted in writing. If exclusivity is terminated early by Brand, a kill fee applies as specified below.

7. Term and Termination

This Agreement commences on the Effective Date and continues until completion of the Services or earlier termination as provided herein.

8. Confidentiality

Each party shall maintain the confidentiality of the other's confidential information and shall not disclose or use such information except as required to perform obligations under this Agreement. Confidentiality obligations survive termination for a period of three (3) years unless otherwise specified.

9. Representations, Warranties, and Indemnification

Each party represents that it has authority to enter this Agreement. Agency warrants that deliverables will not infringe third-party intellectual property rights. Agency shall defend and indemnify Brand against third-party claims arising from Agency's breach of representations, and Brand shall indemnify Agency for claims arising from Brand-provided materials or instructions.

10. Limitation of Liability and Insurance

Except for damages resulting from willful misconduct or gross negligence, neither party shall be liable to the other for consequential, incidental, or punitive damages. Agency shall maintain commercial general liability and, where applicable, media liability insurance in amounts customary for comparable engagements.

Notices permitted or required under this Agreement shall be in writing and delivered to the contacts identified in this Agreement by hand, certified mail, or nationally recognized courier service.

13. Miscellaneous

This Agreement constitutes the entire agreement between the parties and supersedes prior negotiations. Amendments must be in writing and signed by both parties. Neither party may assign this Agreement without the other's prior written consent, except to a successor by merger or acquisition.
