MARKETING SPONSOR AGREEMENT

This Marketing Sponsor Agreement ("Agreement") is entered into effective as of by and between:

Sponsor desires to retain Agency to create, produce and promote certain marketing materials and sponsorship activations, and Agency has the expertise and resources to provide such services under the terms and conditions set forth herein.

Deliverables and Schedule

Agency shall deliver the content and services described below in accordance with the delivery schedule. Each deliverable shall meet the specifications, formats, dimensions and technical requirements mutually approved in writing by Sponsor and Agency.

Compensation and Payment

In consideration for the services and deliverables, Sponsor shall pay Agency the fees set forth below in accordance with the payment schedule. All amounts are in U.S. dollars unless otherwise specified.

Usage Rights and Intellectual Property

Subject to Sponsor's payment in full of the applicable fees, Agency hereby assigns to Sponsor all right, title and interest in the deliverables created specifically for Sponsor under this Agreement, including all copyrights, to the extent permitted by law (a "Work for Hire" to the extent applicable). Notwithstanding the foregoing, Agency retains ownership of its pre-existing materials, tools, processes, templates, and any third-party materials incorporated into deliverables ("Background Materials"). Agency grants Sponsor a perpetual, irrevocable, sublicensable license to use any Background Materials embedded in deliverables as necessary for Sponsor's use of the deliverables.

FTC Disclosure Compliance

Agency will ensure that all sponsored content includes clear, conspicuous disclosures consistent with applicable advertising and consumer protection laws. Disclosures shall be presented in a manner readily understandable by the ordinary consumer and in proximity to the sponsored content.

Agency represents and warrants that it will include required sponsorship disclosures on all published sponsored content and will retain records demonstrating compliance.

Exclusivity

Sponsor may require exclusivity as described below. If exclusivity is granted, Agency will not perform, promote, or accept sponsorships for competing products or services during the exclusivity period without Sponsor's prior written consent.

Termination and Kill Fee

Either party may terminate this Agreement upon written notice to the other party if the other party materially breaches this Agreement and fails to cure such breach within the notice period below. Sponsor may terminate for convenience subject to payment of the kill fee specified below.

Confidentiality

Each party shall keep confidential all non-public information disclosed by the other party that is designated confidential or that a reasonable person would understand to be confidential under the circumstances. Confidential information shall not be used except for performance under this Agreement and shall not be disclosed except to employees, contractors or advisors on a need-to-know basis who are bound by confidentiality obligations at least as protective as those herein.

Representations, Warranties and Indemnification

Each party represents and warrants that it has the full power and authority to enter into this Agreement and to perform its obligations. Agency warrants that the deliverables will be original, will not infringe third-party rights, and will comply with applicable laws and platform terms. Agency shall indemnify and hold Sponsor harmless from and against any third-party claims arising from Agency's breach of the foregoing warranties. Sponsor shall indemnify Agency for claims arising from Sponsor-provided materials or instructions that infringe third-party rights.

Insurance and Liability

Agency shall maintain commercial general liability and, where applicable, errors and omissions insurance with coverage limits customary for the industry. Except for willful misconduct or gross negligence, neither party shall be liable to the other for consequential, incidental or punitive damages. The aggregate liability of either party shall not exceed the total fees paid under this Agreement in the twelve (12) months preceding the claim.

Reporting, Metrics and Approvals

Publicity and Credits

Neither party shall issue public announcements or press releases concerning this Agreement or the other party without the other party's prior written consent, except that Sponsor may announce the sponsorship relationship in connection with the campaign. Credits and logos shall be used in accordance with brand guidelines provided by Sponsor.

Force Majeure; Governing Law

Neither party shall be liable for delays or failures caused by events beyond its reasonable control, including acts of God, strikes, civil unrest, pandemics, or governmental action. This Agreement shall be governed by and construed in accordance with the laws of the state identified below, without regard to conflict of law principles.

Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below or to such other address as a party may designate in writing.

Miscellaneous

This Agreement constitutes the entire agreement between the parties relating to the subject matter and supersedes all prior agreements. Amendments must be in writing signed by both parties. If any provision is held invalid, the remaining provisions shall remain in effect.
