Usage Rights & Intellectual Property

Sponsor grants Organizer a limited license to use Sponsor trademarks and approved assets for the deliverables described.

Confidentiality; Indemnity; Liability

Confidential Information disclosed in connection with this Agreement shall be retained in confidence and used solely for performance. Each party shall indemnify and hold harmless the other against third-party claims arising from its breach of representations, warranties, or misuse of intellectual property. Except for willful misconduct or gross negligence, Organizer's liability shall be limited to direct damages not to exceed the total fees paid by Sponsor under this Agreement.
