Payment Terms

In consideration for the marketing and promotional services described herein, Sponsor agrees to pay Organizer the total sponsorship fee set forth below in accordance with the schedule and conditions specified.

All payments shall be due to Organizer in accordance with the invoice terms. Sponsor is responsible for any fees associated with returned payments. Organizer will not be required to fulfill deliverables until any required deposit has been received.

Term and Termination

The term of this Agreement shall commence on , and shall continue until , unless earlier terminated in accordance with this Agreement.

Confidentiality and Use of Materials

Each party shall hold in confidence all non-public, proprietary information disclosed in connection with this Agreement and shall not disclose such information to third parties except to the extent reasonably necessary to perform its obligations hereunder, as required by law, or with the disclosing party's prior written consent. Confidential information does not include information that (a) is or becomes publicly available other than through a breach of this Agreement, (b) is independently developed without use of the other party's Confidential Information, or (c) is rightfully obtained from a third party without restriction.

Sponsor grants Organizer a limited, non-exclusive, non-transferable license to use Sponsor trademarks, logos and promotional materials solely for the purposes set forth in this Agreement and for the Term. Sponsor represents and warrants that it owns or has the right to grant such license and that materials provided do not infringe third-party rights.

Indemnification and Insurance

Each party shall indemnify, defend and hold harmless the other party, its officers, directors and employees from and against any third-party claims arising out of the indemnifying party's negligent acts, willful misconduct, or breach of its representations and warranties under this Agreement. Sponsor shall maintain appropriate insurance coverage for the activities contemplated by this Agreement and shall provide proof of insurance upon reasonable request.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that state for any action arising under this Agreement.

Entire Agreement; Amendments

This Agreement, together with any attachments, schedules and approved purchase orders, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations and understandings. No amendment shall be effective unless in writing and signed by both parties.

Miscellaneous Provisions

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect. Neither party may assign this Agreement without the prior written consent of the other, except that Organizer may assign to an affiliate or successor entity in connection with a merger or sale of substantially all its assets.
