Termination

Either party may terminate this Sponsor Sheet upon days written notice. Termination does not relieve the Brand of payment for deliverables accepted by Brand or for work in progress in accordance with the Kill Fee above.

Confidentiality & Indemnification

Confidential Information disclosed by either party shall be used solely for performance of this Campaign and shall not be disclosed to third parties except as required to perform the services. Each party agrees to indemnify, defend and hold harmless the other party from claims arising out of its breach of representations, misuse of intellectual property, or willful misconduct in connection with the Campaign.

Approvals & Deliverable Acceptance

Deliverables shall be submitted for Brand approval in the agreed formats. Brand will provide any requested changes within business days of submission. Absent timely notice of rejection, deliverables shall be deemed accepted.
