MARKETING SPONSORSHIP AGREEMENT

WHEREAS, Sponsor desires to obtain certain marketing, advertising and promotional benefits in connection with the Event and Organizer desires to grant Sponsor such benefits on the terms and conditions set forth herein.

NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein, the parties agree as follows:

Sponsor warrants that all logos, artwork and content provided are owned or licensed by Sponsor and that use thereof by Organizer in connection with the Event will not infringe the rights of any third party.

Payment Terms

Payments shall be due to Organizer in accordance with the payment schedule. All invoices are due net: days from invoice date. A late fee of percent per month (or the maximum permitted by law) will be assessed on overdue amounts, together with reasonable collection costs and attorneys' fees.

Term and Termination

This Agreement commences on Start Date: and continues until End Date: , unless earlier terminated as provided herein.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within days after written notice. Either party may terminate for convenience upon days' prior written notice to the other party, subject to payment of any fees due for services rendered through the effective termination date.

Confidentiality

Each party agrees to hold Confidential Information of the other in strict confidence and not to disclose such information to any third party except as required by law or with the prior written consent of the disclosing party. "Confidential Information" includes, without limitation, non-public business information, trade secrets, pricing, marketing plans, proprietary creative assets and other material identified in writing as confidential. Confidentiality obligations shall remain in effect for a period of three (3) years following termination of this Agreement.

Intellectual Property & Use of Marks

Sponsor grants Organizer a limited, non-exclusive, royalty-free license to use Sponsor's trademarks, trade names and logos solely for the purposes of promoting the Sponsor in connection with the Event, subject to Sponsor's brand guidelines. Organizer will not alter Sponsor's marks without Sponsor's prior written approval. Sponsor retains all ownership rights in its marks.

Indemnification

Each party shall indemnify, defend and hold harmless the other party and its officers, directors, employees and agents from and against any and all claims, liabilities, losses, damages and expenses (including reasonable attorneys' fees) arising out of the indemnifying party's breach of this Agreement, negligence or willful misconduct.

Limitation of Liability

EXCEPT FOR A BREACH OF CONFIDENTIALITY OR INDEMNIFICATION OBLIGATIONS, NEITHER PARTY SHALL BE LIABLE TO THE OTHER FOR ANY CONSEQUENTIAL, INDIRECT, SPECIAL, INCIDENTAL OR PUNITIVE DAMAGES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE AGGREGATE LIABILITY OF EITHER PARTY ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT SHALL NOT EXCEED THE TOTAL AMOUNTS PAID OR PAYABLE BY SPONSOR TO ORGANIZER UNDER THIS AGREEMENT.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of law principles. The parties consent to the exclusive jurisdiction and venue of the state and federal courts located in that State for any dispute arising under this Agreement.

Entire Agreement; Amendment

This Agreement (including all attachments, exhibits and schedules referenced herein) constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings. No amendment to this Agreement shall be effective unless in writing and signed by authorized representatives of both parties.

Miscellaneous

Neither party may assign its rights or delegate its obligations under this Agreement without the prior written consent of the other party, except that Organizer may assign to an affiliate or in connection with a merger or sale of substantially all of its assets. Notices shall be in writing and delivered to the addresses set forth above or to such other address as a party may designate by written notice.
