MARKETING SPONSORSHIP LETTER

Recitals

WHEREAS, Sponsor Organization: desires to engage in promotional and brand-support activities that align with Sponsor's marketing objectives; and

WHEREAS, Recipient Organization: operates the event, program, or marketing channel identified herein and has the ability to deliver the marketing benefits described in this Letter; and

WHEREAS, the parties wish to set forth the terms, deliverables, payment, and legal protections governing the sponsorship relationship in a binding agreement;

Scope of Work

The Recipient shall provide the marketing and promotional benefits described below to Sponsor in exchange for the sponsorship fees set forth in this Letter. Specific deliverables, timelines, and performance metrics are detailed in the section below and incorporated deliverables exhibit.

Payment Terms

Sponsor shall pay Recipient the following sponsorship fees in consideration for the benefits set forth in this Letter.

Late Payment: Amounts not paid when due shall accrue interest at on the outstanding balance, or the maximum rate permitted by law, whichever is less.

Either party may terminate this Letter for material breach if such breach remains uncured for days after written notice to the breaching party. Termination for convenience requires days' prior written notice and payment of any earned but unpaid fees through the effective termination date.

Confidentiality

Each party shall keep confidential all non-public business information disclosed in connection with this sponsorship relationship ("Confidential Information"). Confidential Information does not include information that is or becomes publicly known through no wrongful act of the receiving party, was rightfully known by the receiving party prior to disclosure, or is required to be disclosed by law or court order (provided the receiving party gives prompt written notice to the disclosing party). The receiving party shall use Confidential Information solely to perform its obligations under this Letter and shall not disclose it to third parties except to employees, contractors, or professional advisors who have a need to know and are bound by confidentiality obligations at least as protective as those set forth herein.

Confidentiality Obligation Duration: Confidentiality obligations shall remain in effect for following termination or expiration of this Letter, unless a longer period is required by applicable law.

Indemnification

Each party (the "Indemnitor") shall indemnify, defend and hold harmless the other party and its officers, directors, employees and agents from and against any claims, liabilities, losses, damages and expenses (including reasonable attorneys' fees) arising out of the Indemnitor's gross negligence, willful misconduct, or breach of its obligations under this Letter, except to the extent caused by the indemnified party's negligence or willful misconduct.

Governing Law

This Letter shall be governed by and construed in accordance with the laws of without regard to conflict of laws principles. Venue for any dispute arising from this Letter shall be the state or federal courts located within the selected jurisdiction.

Entire Agreement

This Letter, together with any attached schedules or exhibits expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations, and understandings, whether written or oral.
