Usage Rights, Ownership & License

License Grant: The Agency hereby grants the Brand a non-exclusive/non-transferable license to use the Deliverables solely for the Campaign purposes described in this SOW, subject to the payment terms and duration set forth below. The parties may check an alternative below to modify exclusivity.

Approval, Revisions and Acceptance Criteria

Approval Process: Unless otherwise agreed, the Brand will provide consolidated feedback within business days of submission. The Agency will incorporate up to rounds of revisions per deliverable at no additional fee. Additional revisions will be subject to a change order.

FTC Disclosure and Compliance

The Agency shall ensure that all influencer, creator and paid media content complies with applicable advertising and consumer protection laws and disclosure obligations. All paid or sponsored content must include clear and conspicuous disclosure of commercial relationship in a manner appropriate to the channel and audience.

Agency represents and warrants that it will: (a) notify all creators of required disclosures; (b) retain documentation evidencing disclosure compliance; and (c) promptly provide such documentation to Brand upon request.

Confidentiality

Each party agrees to treat as confidential any information designated as confidential or which reasonably should be understood to be confidential given the nature of the information. Confidential information shall not include information that is publicly available or independently developed.

Warranties, Indemnification & Limitation of Liability

Agency represents and warrants that Deliverables will be original, will not infringe third-party rights, and will comply with applicable laws. Brand represents that materials it provides do not infringe third-party rights.

Termination and Kill Fee

Either party may terminate this SOW for material breach if the breaching party fails to cure within business days after receiving written notice. Brand may terminate for convenience upon days' prior written notice, subject to the Kill Fee below.
