MARKETING STATUS LABS IO AGREEMENT

This Insertion Order and Marketing Services Agreement (the Agreement) is entered into as of (Effective Date) between:

Compensation & Payment

Client agrees to pay Agency the following fees for the Services described herein in United States Dollars unless otherwise specified.

Late payments incur interest at on overdue balances and may suspend Services until payment is received.

Usage Rights & Intellectual Property

Agency hereby grants Client a non-exclusive, worldwide, transferable license to use deliverables for the Duration specified below for the Permitted Uses described. Ownership of original Agency materials and pre-existing Agency IP remains with Agency unless otherwise assigned in writing.

Exclusivity

Exclusivity applies as set forth below. If no exclusivity is selected, Agency may work with other clients in the same industry.

FTC Disclosure Compliance

Both parties acknowledge that applicable advertising and endorsement disclosure laws and regulations (including requirements to disclose material connections) apply to promotional content. Agency will include clear and conspicuous disclosures in creator content where required. Client certifies that it will not require false or misleading representations.

Termination

Either party may terminate this Agreement for convenience upon written notice to the other party as specified below. Termination for cause may be effected immediately where a material breach is not cured within the cure period.

Representations, Warranties & Indemnities

Each party represents that it has full authority to enter into this Agreement. Agency warrants that deliverables will not infringe third-party IP and will be compliant with applicable laws. Client will indemnify Agency against claims arising from Client-supplied materials or Client directions that violate law or third-party rights. The indemnifying party will reimburse reasonable costs and defend claims with counsel reasonably acceptable to the other party.

Limitation of Liability

Except for breach of confidentiality, willful misconduct, or indemnity obligations, neither party's liability shall exceed the total fees paid by Client to Agency under this Agreement in the preceding twelve months. Neither party shall be liable for incidental, consequential, or punitive damages.

Confidentiality

Each party will maintain the confidentiality of non-public information disclosed in connection with this Agreement. Confidential information does not include information that is public through no breach of this Agreement, already known by recipient, or independently developed.

Force Majeure, Assignment & Governing Law

Neither party will be liable for delay or failure to perform due to causes beyond reasonable control. This Agreement may not be assigned without prior written consent except to a successor to substantially all assets. This Agreement will be governed by the laws mutually selected by the parties; disputes will be resolved by the parties through good faith negotiation prior to any litigation or arbitration.

Any change to scope, schedule, fees, or ownership must be documented in a signed change order referencing this IO. Additional terms specific to this engagement may be set forth below.
