Usage Rights & Intellectual Property

License Grant: Subject to full payment, the Agency grants the Brand a non-exclusive/non-transferable (select as applicable) license to use final deliverables as described below. Unless otherwise agreed in writing, drafts, templates, underlying source files and Agency pre-existing materials remain the Agency's property.

FTC Disclosure Compliance

The parties acknowledge that any influencer endorsements, sponsored posts or native advertising delivered under this Plan must comply with applicable disclosure obligations and truthful advertising standards. The Agency will include clear, conspicuous disclosure language where required and will provide proposed disclosure copy for the Brand's approval prior to publication.

Termination & Kill Fee

Either party may terminate this Plan upon written notice to the other party as provided below. Termination does not relieve the Brand of payment obligations for work performed prior to termination.

Confidentiality

Each party shall keep confidential all non-public information disclosed in connection with performance under this Plan and shall not use such information except as necessary to perform obligations under this Plan. Confidential information does not include information that is or becomes publicly known other than by breach of this clause, or that is independently developed or lawfully obtained without restriction.

Reporting, Measurement & Optimization

Representations, Warranties, Indemnity & Liability

Each party represents that it has authority to enter into this Plan and that performance will not violate agreements with third parties. Agency represents that materials provided will not infringe third-party rights. Each party shall indemnify the other against losses arising from its breach, gross negligence or willful misconduct. Except for indemnification obligations and willful misconduct, neither party's liability shall exceed the fees paid under this Plan for the applicable campaign period.

Amendments & Governing Law

This Plan may be amended only by a written instrument signed by authorized representatives of both parties. This Plan shall be governed by the laws of the state identified below without regard to conflict of law principles.
