MARKETING SUPPORT AGREEMENT

This Marketing Support Agreement ("Agreement") is entered into between Client Name: and Agency/Creator Name: effective as of Effective Date: . Client and Agency are each a "Party" and together the "Parties."

As consideration for the Services, Client will pay the fees and reimbursable expenses set forth below in accordance with this section.

6. USAGE RIGHTS, LICENSE, AND IP

Agency hereby grants Client a non-exclusive/non-transferable license to use the Deliverables for the Purpose described in this Agreement, subject to the license terms below. Ownership of pre-existing materials of each Party remains with that Party.

Assignment: Upon full payment of applicable fees, Agency will assign to Client all right, title and interest in final Deliverables created specifically for Client, excluding Agency pre-existing or third-party components identified in writing at the time of delivery. Client shall receive source and master files where specified in the Scope.

7. FTC DISCLOSURE AND ADVERTISING COMPLIANCE

Agency represents and warrants that all promotional content and endorsements will be truthful, not misleading, and will include clear and conspicuous disclosures of material connections where required by applicable advertising and consumer protection standards.

8. TERMINATION

Either Party may terminate this Agreement upon written Notice Period: days to the other Party. For material breach, the breaching Party shall have Cure Period: days to cure prior to termination for cause.

Kill Fee: If Client terminates for convenience prior to completion, Client will pay a kill fee equal to the greater of fees earned to date plus documented unrecoverable third-party costs or . Any refunds or final accounting will be provided within days of termination.

9. CONFIDENTIALITY

Each Party will protect Confidential Information of the other Party and will not disclose or use such information except as necessary to perform its obligations under this Agreement. Confidentiality obligations will continue for Confidentiality Term: after termination.

10. REPRESENTATIONS, WARRANTIES, INDEMNITY

Each Party represents that it has the authority to enter this Agreement. Agency warrants that Deliverables will be original or properly licensed and will not infringe third-party rights. Agency will indemnify Client for claims arising from breach of such warranty. Client will indemnify Agency for Client-supplied materials or instructions that give rise to third-party claims.

11. LIMITATION OF LIABILITY

Except for willful misconduct or gross negligence, neither Party shall be liable for consequential, incidental, special or punitive damages. Agency's aggregate liability under this Agreement shall not exceed the total fees paid by Client to Agency under this Agreement.

12. MISCELLANEOUS

Governing Law: . Notices must be in writing to the addresses set forth above. This Agreement constitutes the entire agreement between the Parties and supersedes prior agreements related to the subject matter. Amendments must be in writing and signed by authorized representatives of both Parties.
