License, Usage Rights and Ownership

Ownership: Talent retains copyright in pre-existing materials and underlying raw footage unless a written assignment is made. FTC Disclosure and Compliance

Talent agrees to comply with all disclosure and endorsement guidelines and to make clear, conspicuous disclosures for paid content. Talent shall include the following disclosure language with any paid post:

Talent is responsible for ensuring any claims made in content are accurate and supported. Brand/Client shall not be liable for Talent's failure to comply with disclosure requirements.

Exclusivity and Conflicts

Termination and Kill Fee

Representations, Warranties and Indemnification

Talent represents and warrants that: (a) Talent has full right and authority to enter into this Agreement; (b) Deliverables will be original and will not infringe third-party rights; and (c) any endorsements or claims will be accurate and substantiated. Brand/Client represents it has the right to request the services and materials described herein.

Each party agrees to indemnify and hold harmless the other from third-party claims arising out of the indemnifying party's breach of this Agreement, negligence, or willful misconduct. Indemnification obligations will survive termination of this Agreement.

Confidentiality

Each party will keep confidential any non-public information received in connection with the campaign and will not disclose such information except as required by law. Confidential information does not include information that is or becomes publicly available through no fault of the receiving party.

Independent Contractor; Insurance

Talent is an independent contractor and not an employee of Brand/Client. Talent is responsible for all employment taxes and benefits. Talent shall maintain commercially reasonable liability insurance where applicable and provide proof of insurance upon request.

Reporting, Metrics and Audit Rights

Talent will provide Brand/Client with performance metrics for paid content within days of posting unless otherwise agreed. Brand/Client may request reasonable substantiation of metrics and impressions.

Governing Law, Notices and Miscellaneous

Governing Law: This Agreement will be governed by the laws of the state of without regard to conflict of law principles.

Entire Agreement; Amendment: This Agreement constitutes the entire agreement between the parties with respect to the subject matter and may only be amended in a writing signed by both parties. If any provision is found invalid, the remaining provisions remain in effect.
