The Testimonial Provider hereby grants to the Brand/Client a worldwide, transferable, sublicensable license to use, reproduce, distribute, publicly display, modify, adapt and create derivative works of the testimonial, the Provider's name, voice, image, likeness and biographical material incorporated in the testimonial (collectively, the "Materials") for advertising, marketing and promotional purposes in all media now known or hereafter developed for the duration set below.

5. Required Disclosures and FTC Compliance

The Testimonial Provider affirms that any statement of fact or opinion made in the testimonial will be truthful, based on the Provider's genuine experience, and will comply with applicable endorsement and advertising disclosure requirements. Provider agrees to include required disclosures (e.g., clearly indicating compensation, material connection, or other required language) where content is published on social platforms.

6. Exclusivity and Competition

Unless otherwise agreed in writing, Provider may provide testimonials for other brands; however, for the Term set forth above Provider shall not provide testimonials that directly promote a product or service competitive with the Brand's primary product without prior written consent from Brand.

7. Termination

Either party may terminate this Agreement upon written notice to the other party in accordance with the notice period below. Termination shall not affect Brand's rights in Materials already delivered and accepted. If Brand terminates after Provider has materially performed and Brand elects not to use the Materials, Brand shall pay the Kill Fee set forth below.

Ownership of the underlying raw footage, photographs and written drafts and the copyrights therein will be as follows (select one):




9. Privacy, Personal Data and Name Use

Provider consents to Brand's use of Provider's full name, city/state, photograph, voice and other personal data as part of the Materials. Brand will process such personal data for marketing purposes in accordance with applicable law.



10. Representations, Indemnification and Liability

Provider represents and warrants that the Materials are original, do not infringe third-party rights, and do not contain defamatory or unlawful statements. Provider will indemnify and hold Brand harmless from and against claims, damages, and costs (including reasonable attorney fees) arising out of breach of the foregoing representations. Brand's liability to Provider arising out of this Agreement shall be limited to direct damages not to exceed the total compensation paid to Provider under this Agreement; in no event will either party be liable for consequential or punitive damages.

11. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction specified below. The parties agree to attempt good faith negotiation and mediation prior to initiating litigation.

12. Miscellaneous

Amendments to this Agreement must be in writing and signed by both parties. If any provision is held invalid, the remaining provisions shall remain enforceable. This Agreement constitutes the entire agreement between the parties concerning the subject matter herein.
