Brand grants Agency a limited, non-exclusive, royalty-free license to use Brand assets (logos, product images, trademarks) solely for creation and distribution of the Thank You Email described in this form for the territory and duration specified below. Agency represents and warrants that all content supplied for inclusion in the email is owned by Agency or Brand, or appropriately licensed, and that use will not infringe third-party rights.

Agency shall include a clear and conspicuous unsubscribe mechanism and Brand physical mailing address in every commercial message as required by applicable anti-spam laws. Agency will not use or transfer recipient data other than to send the described email and perform agreed measurement; any data processing must comply with applicable privacy laws.

Each party represents and warrants that it has the full right and authority to enter into this specification and to grant the rights described. Agency will comply with applicable anti-spam and consumer protection laws in the drafting and sending of the email. Agency shall indemnify and hold Brand harmless from any third-party claim arising from Agency's breach of the representations above. Brand shall indemnify Agency for claims arising from Brand-supplied content that breaches third-party rights.

Termination

Either party may terminate this email deliverable on written notice to the other party. If termination occurs after Agency has commenced work or after Brand has provided approval, Brand shall pay the applicable kill fee set forth above. Termination does not relieve either party of obligations accrued prior to termination.

Approvals & Acceptance

Final content and send settings must be approved in writing by Brand prior to programmatic send. Approval constitutes acceptance of creative, subject, preheader, CTA identifiers and tracking parameters. Any changes after approval may trigger additional fees.
