Data Collection, Privacy, and Compliance

Data Collection Methods: The Agency will implement tags, pixels, server-side events, and measurement endpoints as described in the Tracking Components. All data collection will be limited to the scope set forth in this Proposal and the Brand's instructions.

The Brand is responsible for obtaining any required end-user consents for data collection.

Intellectual Property & Data Ownership

Ownership: All tracking code, configuration and raw performance data collected under this Proposal shall be owned by the Brand. The Agency retains ownership of its pre-existing tools, proprietary algorithms, and any aggregated, anonymized methodologies, provided such materials do not disclose Brand's raw data.

Exclusivity

Exclusivity: Agency has exclusive tracking services for the defined channels during the Term.    No exclusivity. If exclusivity_yes is selected, additional exclusivity terms and compensation will apply as set forth below.

If Brand terminates without cause prior to completion of deliverables, Brand will pay the Agency an amount equal to the kill fee plus any unpaid, non-cancellable third-party costs incurred by the Agency as of the termination effective date.

Confidentiality, Indemnity, and Liability

Confidentiality: Each party will maintain the confidentiality of the other's confidential information and will not disclose such information except as required by law. Confidential information includes non-public data, campaign performance data, and trade secrets.

Indemnity: Each party shall indemnify and hold harmless the other from any third-party claims arising from the indemnifying party's breach of representations, willful misconduct, or negligence in performing under this Proposal.

Limitation of Liability: Except for breaches of confidentiality or indemnifiable third-party claims, neither party shall be liable for consequential, incidental, or punitive damages. The aggregate liability of either party for any claim arising from this Proposal shall not exceed the total fees paid to the Agency under this Proposal during the prior six months.

The Agency confirms it will advise and implement required disclosures for paid or sponsored content consistent with consumer protection and endorsement disclosure principles. The Brand will review and approve final disclosure language prior to publication.
