What the Marketing Trade Show Agreement Covers

A Marketing Trade Show Agreement is a written contract that sets the terms between an event organizer, venue, and an exhibitor or marketing vendor for participation in a trade show or exhibition. It describes booth allocation, dimensions, utilities, setup and teardown schedules, payment and cancellation terms, insurance and indemnity obligations, intellectual property and promotional rights, health and safety rules, and compliance with venue policies. The agreement defines deliverables such as lead retrieval, sponsorship visibility, and any co-marketing activities. It can be executed on paper or electronically under U.S. e-signature laws for faster completion and clear audit trails.

Why a Clear Agreement Matters for Trade Shows

A focused Marketing Trade Show Agreement reduces disputes, clarifies costs and responsibilities, and protects intellectual property and brand use. Proper terms allocate risk (insurance, indemnity) and set deadlines for setup, payment, and cancellation, making event logistics predictable for both organizers and exhibitors.

Why a Clear Agreement Matters for Trade Shows

Who Typically Uses This Agreement

Common users include organizers, exhibitors, and legal or procurement teams who manage event participation.

  • Event and program managers responsible for booth allocation and sponsor deliverables
  • Exhibitor marketing or operations teams that need to confirm space, utilities, and lead-handling requirements
  • Legal, procurement, or vendor management professionals who review liability, insurance, and IP clauses

The form helps cross-functional teams align on schedule, payments, safety, and promotional rights before the event begins.

Core Sections to Include in a Professional Agreement

A complete Marketing Trade Show Agreement organizes obligations and risk across operational, financial, and legal topics so both parties know expectations before the event.

Parties & Scope

Identify legal names, roles (organizer, exhibitor, vendor), event name and location, and a concise description of services or exhibits to be provided.

Booth Details

Specify booth number, dimensions, placement, utilities (electricity, internet), and any restrictions on structure, signage, or audiovisual equipment.

Payment Terms

State total fees, deposit schedule, accepted payment methods, late fee calculation, and conditions that trigger refunds or forfeiture.

Cancellation & Changes

Define cancellation windows, refund formulas, force majeure allocation, and how last-minute space changes or upgrades are handled.

Liability & Insurance

Set minimum insurance limits, certificate-holder requirements, indemnity obligations, and responsibility for property damage or personal injury.

IP & Promotions

Address logo usage, promotional rights, data ownership for leads, restrictions on soliciting attendees, and any exclusivity commitments.

Step-by-Step: From Draft to Signed Agreement

Follow a consistent sequence to reduce errors and accelerate execution.
