MARKETING TWITCH AGREEMENT

WHEREAS, Brand desires to engage Creator to create, present and promote specified marketing content on Creator's Twitch channel on the terms set forth below; and WHEREAS, Creator has the ability and agrees to provide such promotional services under the terms of this Agreement.

The services under this Agreement will commence on and will end on unless earlier terminated in accordance with this Agreement.

Termination & Kill Fee

Either party may terminate this Agreement for material breach upon written notice if the breach is not cured within the notice period below. Brand may terminate without cause by providing the notice period and paying the kill fee described below.

Representations, Warranties & Indemnity

Each party represents and warrants that it has authority to enter into this Agreement. Creator represents that all Deliverables will be original, will not infringe third-party rights, and will comply with applicable laws and platform rules. Creator will indemnify and hold Brand harmless from any third-party claims arising from Creator's breach, except to the extent caused by Brand's instructions.

Confidentiality

Each party will keep confidential any non-public information received in connection with the Agreement and will not disclose same except as required by law. Confidential information does not include information that is public through no fault of the recipient.

Metrics, Reporting & Approval

Creator will provide performance reporting as follows and will allow Brand reasonable review time for pre-approved content where applicable.

Limitation of Liability

Except for willful misconduct or gross negligence or breach of confidentiality or indemnity obligations, neither party will be liable for special, incidental or consequential damages. The total liability of either party arising out of this Agreement shall be limited to the sums actually paid to Creator under this Agreement in the twelve (12) months preceding the claim.

Miscellaneous Provisions

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior communications. Any amendment must be in writing signed by both parties. This Agreement is governed by the laws of the jurisdiction specified below.
