MARKETING UPSELL AGREEMENT

RECITALS

WHEREAS, Client operates marketing campaigns and desires to offer targeted upsell offers to existing customers and prospects to increase average order value and lifetime value; and

WHEREAS, Service Provider is engaged in providing marketing strategy, creative, campaign execution, and analytics services, and represents that it has the experience and personnel to design and implement upsell offers for Client; and

WHEREAS, the parties desire to set forth the scope, payment terms, confidentiality, and other material terms governing the upsell services described below.

SCOPE OF WORK

Late Fee: (applies to overdue balances).

All fees are exclusive of taxes and third-party costs unless otherwise stated. Service Provider shall submit itemized invoices and Client shall pay undisputed amounts in accordance with the invoicing terms.

Either party may terminate this Agreement for convenience upon written notice to the other party delivered at least days prior to the effective termination date. Either party may terminate immediately for material breach if such breach remains uncured for fifteen (15) days following written notice.

Upon termination, Client shall pay for all work performed and expenses incurred through the effective termination date. Sections concerning confidentiality, indemnification, intellectual property, and governing law shall survive termination.

CONFIDENTIALITY

"Confidential Information" means non-public information disclosed by one party to the other that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information. Confidential Information includes business plans, customer lists, pricing, campaign strategies, creative assets, and analytics.

Receiving party shall (a) use Confidential Information solely to perform its obligations under this Agreement, (b) restrict disclosure to employees or contractors with a strict need to know, and (c) employ reasonable measures to protect Confidential Information from unauthorized disclosure. Receiving party shall not disclose Confidential Information to third parties except as required by law, provided that receiving party uses commercially reasonable efforts to limit such disclosure and notify disclosing party where permitted.

Confidentiality obligations shall survive termination for a period of three (3) years from the date of disclosure, except that trade secrets shall be protected for so long as they remain trade secrets under applicable law.

INTELLECTUAL PROPERTY

Except as expressly set forth herein, Client retains ownership of Client Materials provided to Service Provider. Service Provider retains ownership of pre-existing materials and methodologies. Upon full payment, Service Provider grants to Client a non-exclusive, worldwide, royalty-free license to use deliverables created specifically for Client for the purposes contemplated by this Agreement. Service Provider shall ensure that deliverables do not infringe third-party intellectual property rights.

INDEMNIFICATION

Each party shall indemnify and hold harmless the other party from and against third-party claims arising from the indemnifying party's gross negligence, willful misconduct, or material breach of this Agreement. The indemnified party shall provide prompt written notice of any claim and cooperate in the defense; the indemnifying party shall control the defense and settlement, provided that no settlement admitting liability or imposing obligations on the indemnified party shall be entered without the indemnified party's prior written consent.

LIMITATION OF LIABILITY

Except for liability arising from a party's gross negligence, willful misconduct, breaches of confidentiality, or infringement of intellectual property, neither party shall be liable to the other for consequential, incidental, special, or punitive damages. The aggregate liability of either party under this Agreement shall not exceed the total fees paid by Client to Service Provider under this Agreement during the twelve (12) month period preceding the claim.

GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles. The parties shall attempt in good faith to resolve disputes amicably prior to initiating litigation.

ENTIRE AGREEMENT; AMENDMENT

This Agreement (including all exhibits and attachments) constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous understandings. Any amendment or modification must be in writing and signed by authorized representatives of both parties.

MISCELLANEOUS

Notices shall be in writing and delivered to the addresses provided by each party. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. The parties are independent contractors and nothing in this Agreement creates a partnership, joint venture, or employment relationship.
