MARKETING VENDOR AGREEMENT

This Marketing Vendor Agreement (the "Agreement") is entered into as of by and between:

WHEREAS, Brand / Client desires to procure marketing, creative, content production and related services for the Campaign described below; and WHEREAS, Vendor / Agency represents that it has the expertise, personnel and resources to perform such services under the terms of this Agreement.

Vendor shall produce the deliverables set forth below in accordance with the timeline and acceptance criteria. Each deliverable must conform to Brand's written brief and any technical specifications provided by Brand.

Compensation & Payment

Usage Rights & Intellectual Property

Vendor hereby assigns and transfers to Brand all right, title and interest in and to the final deliverables created under this Agreement, including copyrights, worldwide and in perpetuity, except for Vendor pre-existing materials. Vendor grants Brand an exclusive, transferable, sublicensable, royalty-free license to use any Vendor pre-existing materials incorporated in the deliverables to the extent necessary to exploit the deliverables.

Vendor may retain the right to use final deliverables in its portfolio and case studies, provided such use does not disclose Brand confidential information and subject to Brand's prior written approval where required for sensitive campaigns.

FTC Disclosure Compliance

Vendor represents and warrants that it will comply with all applicable advertising laws and guidance regarding disclosures and endorsements. Vendor shall ensure that any influencer or talent involved in the Campaign provides clear, conspicuous disclosures of material connections with Brand in all content, captions and sponsored placements.

Acceptance, Revisions & Approval

Brand shall have a reasonable review period of business days to approve or request revisions to each deliverable. Vendor will provide up to rounds of revisions at no additional fee; additional revisions will be billed at Vendor's standard hourly or per-item rates as set forth in the payment schedule.

Termination

Either party may terminate this Agreement for convenience upon days' prior written notice to the other party. If Brand terminates the Agreement without cause after Vendor has begun work, Brand will pay Vendor for all work performed through the effective date of termination plus a kill fee equal to of the remaining unpaid contract value.

Confidentiality

Each party agrees to maintain in confidence all non-public information disclosed by the other party which is designated as confidential or that reasonably should be understood to be confidential. Confidential information shall not include information that is publicly known through no fault of the recipient or is rightfully obtained by the recipient from a third party.

Representations, Warranties & Indemnity

Vendor represents and warrants that (a) it has full authority to enter into this Agreement; (b) the deliverables are original and do not infringe third party rights; and (c) it will comply with applicable laws. Vendor shall indemnify and hold harmless Brand for third-party claims arising out of Vendor's breach of the foregoing representations or unauthorized use of third-party materials. Brand shall indemnify Vendor for claims arising from Brand-provided materials or Brand's wrongful instructions.

Limitation of Liability

Except for liability arising from indemnification obligations, willful misconduct, or gross negligence, neither party's aggregate liability arising under this Agreement shall exceed the total fees paid by Brand to Vendor under this Agreement during the twelve (12) months preceding the event giving rise to the claim.

Insurance

Vendor will maintain general liability and, if applicable, professional liability insurance with limits customary for the industry and provide certificates of insurance upon Brand request.

Force Majeure

Neither party will be liable for delays or failures in performance caused by events beyond its reasonable control, including but not limited to acts of God, natural disaster, strikes, pandemics, or governmental action. The affected party shall promptly notify the other party and use commercially reasonable efforts to resume performance.

All notices under this Agreement shall be in writing and delivered to the addresses below:

This Agreement shall be governed by the laws of the state of without regard to its conflicts of law principles. The parties agree to attempt in good faith to resolve disputes informally prior to commencing arbitration or litigation.

No amendment is effective unless in writing and signed by both parties. Vendor is an independent contractor and is solely responsible for all employment taxes, benefits, and other obligations for its employees or subcontractors. Vendor shall provide any required tax or contractor documentation to Brand upon request.
