9. Confidentiality & Data Protection

Confidential Information: Vendor will treat all non-public Brand information as confidential and will not use or disclose such information except to perform services. Confidentiality obligations survive termination for a period of three (3) years.

Personal Data: To the extent Vendor processes personal data on behalf of Brand, Vendor will process such data only on documented instructions, implement appropriate technical and organizational measures, and comply with applicable data protection laws.

10. Performance, Reporting & Acceptance

Acceptance Process: Deliverables shall be reviewed within ten (10) business days of submission. Acceptance shall not be unreasonably withheld; Brand will provide written notice of rejection specifying defects and required corrections.

11. Termination, Remedies & Liability

Termination for Convenience: Either party may terminate upon thirty (30) days' prior written notice. If Brand terminates for convenience, Brand shall pay for all reasonable work performed through the effective termination date and any pre-approved expenses.

Termination for Cause: Either party may terminate immediately for material breach if the breach is not cured within ten (10) business days after written notice.

Indemnification: Vendor will indemnify, defend and hold Brand harmless from third-party claims arising out of Vendor’s breach of representations, infringement of third-party IP, or failure to comply with applicable laws.

Limitation of Liability: Except for willful misconduct or gross negligence, each party’s aggregate liability to the other shall not exceed the total fees paid to Vendor under the applicable Statement of Work.
