Usage Rights & License

Exclusivity

Exclusivity provisions, if any, are limited to the scope, timeframe, and channels described below. Unless expressly set forth, Agency retains the right to provide services to other clients.

FTC Disclosure Compliance

Both parties acknowledge that any sponsored content or endorsements must comply with applicable advertising and endorsement disclosure laws and guidelines. Agency will include clear and conspicuous disclosures as required.

Intellectual Property & Ownership

Ownership of underlying materials, pre-existing IP, and newly created work is allocated as follows. Any transfer of ownership is conditioned on full payment and execution of necessary assignment documents.

Termination & Kill Fee

Either party may terminate this Proposal upon written notice. Termination does not relieve Client's obligation to pay for work performed and non-recoverable third-party costs. A kill fee is payable as described below.

Confidentiality

Each party will maintain the confidentiality of Confidential Information disclosed in connection with this Proposal. Confidential Information does not include information that is publicly known without breach of obligation.

Representations, Warranties & Indemnification

Each party represents that it has the authority to enter this Proposal and that any materials provided do not infringe third-party rights. Agency warrants original content and agrees to indemnify Client against third-party claims arising from Agency-provided materials, subject to limitations below.

Acceptance
