Usage Rights & License

Creator hereby grants to Client a    license to use, reproduce, distribute, display, perform, adapt, modify and create derivative works of the delivered video content in the Territory and Media specified below, subject to the terms of this Release.

Client may edit, crop, format, incorporate into compilations, and add captions or voiceover. Creator waives any moral rights to the extent permitted by law and consents to reasonable edits and creative direction necessary for the campaign.

Representations, Warranties & Clearances

Creator represents and warrants that: (a) Creator is the sole and exclusive owner of all rights in the Deliverables or has obtained all necessary licenses and releases; (b) the Deliverables do not infringe the rights of any third party; and (c) all music, stock footage, third‑party materials and talent appearances included in the Deliverables are licensed, cleared or consented for the uses contemplated by this Release.

FTC Disclosure Compliance

Creator agrees to include clear and conspicuous disclosures in any content that constitutes an endorsement, sponsorship, or paid promotion, in compliance with applicable advertising and consumer protection laws. Creator further agrees to include any required on-screen disclosures, hashtags, or verbal statements as reasonably requested by Client.

Exclusivity & Restriction

Intellectual Property Ownership

Unless otherwise agreed in writing, Creator retains original underlying intellectual property and raw footage rights, and grants Client the licensed rights set forth above to the final edited Deliverables. Title to final deliverables is transferred to Client only to the extent expressly provided by the license grant above. Any retained Creator rights shall not unreasonably interfere with Client's use.

Indemnification & Limitation of Liability

Each party shall indemnify, defend and hold the other harmless from third-party claims arising from its breach of this Release, negligence, or willful misconduct. Client's liability for direct damages arising from Creator's acts or omissions shall be limited to the total fees paid to Creator under this Release. In no event shall either party be liable for consequential, incidental or punitive damages.

Confidentiality

Proprietary materials and confidential information exchanged in connection with the campaign shall be held confidential by the receiving party and used only to perform obligations under this Release, except where disclosure is required by law.
