Usage Rights & Intellectual Property

Grant of License: Upon final payment in full, Agency / Creator grants Brand / Client a license to use the Deliverables for the purpose of the Campaign in the Territory described below for the Term described below.

Ownership: Unless otherwise agreed in writing, Agency / Creator retains underlying copyrights and grants only the usage license specified above. Brand / Client shall not register copyright in Agency / Creator's name or claim authorship.

Exclusivity & Conflicts

Conflicts: Agency / Creator represents that it has disclosed all material conflicts of interest and will not enter into engagements that materially impair performance under this Agreement during the exclusivity period.

FTC Disclosure Compliance

Parties acknowledge that paid endorsements and sponsored content must be clearly and conspicuously disclosed in compliance with applicable advertising and consumer protection laws. Agency / Creator agrees to include required disclosures in all Deliverables where compensation or material connection exists.

Brand / Client acknowledges responsibility for providing any required disclosure language and for final approval of the disclosure placement. Agency / Creator confirms:   Acknowledged

Termination & Kill Fee

Either party may terminate this Agreement upon written notice to the other party. Notice period (days): days.

If Brand / Client terminates after Agency / Creator has commenced pre-production or production, Brand / Client shall pay a kill fee equal to:   of the Total Fee plus documented non-cancellable third-party costs.

Confidentiality, Warranties & Indemnity

Confidential Information disclosed by either party shall be held in confidence and used only for performance under this Agreement. Confidentiality obligations survive termination.

Warranties: Each party represents that it has authority to enter this Agreement and that the Deliverables will not infringe third-party rights. Agency / Creator further warrants that it has obtained all necessary releases from talent and owners of locations and materials used in the Deliverables.

Indemnity: Each party agrees to indemnify, defend and hold harmless the other party from losses, damages and reasonable attorneys' fees arising from breach of representations, negligence, or willful misconduct.

Insurance & Liability

Agency / Creator shall maintain commercial general liability and, where applicable, workers' compensation and equipment insurance sufficient to cover claims arising from the production. Minimum limits and additional insured requirements (if any):

Limitation of Liability: Except for willful misconduct or gross negligence, neither party's liability for direct damages shall exceed the total fees paid under this Agreement.

Change Orders & Approvals

All material changes to scope, schedule or budget must be made by written change order signed by authorized representatives of both parties. Brand / Client shall provide approvals within days of submission, otherwise Agency / Creator's submission shall be deemed approved.

Force Majeure; Governing Law

Neither party shall be liable for delays or failures caused by events beyond reasonable control. This Agreement shall be governed by the laws of the state of , without regard to conflict of law principles.

Miscellaneous

Entire Agreement: This Agreement, including any exhibits and written change orders, constitutes the entire agreement between the parties and supersedes prior negotiations and understandings.

Notices: All notices required by this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as a party may designate in writing.
