This Marketing Videography Services Agreement (the Agreement) is entered into as of by and between:

Recitals

Brand desires to retain Creator to produce marketing videos for Brand's campaign and Creator represents that it has the skill and resources to provide such services on the terms set forth in this Agreement.

Scope of Services

Creator shall produce videography services and deliverables as described in this Section (Services). Creator shall perform services in a professional manner consistent with industry standards and the schedule set forth below.

Creator shall deliver the following items in final, client-ready formats unless otherwise agreed in writing.

Compensation & Expenses

In consideration of the Services, Brand shall pay Creator the fees set forth below. Unless otherwise stated, fees are net of applicable taxes and payable in U.S. dollars.

Usage Rights & Intellectual Property

Creator grants Brand the rights set forth below in the Deliverables, subject to payment in full and the terms of this Agreement.

FTC Disclosure Compliance

Where applicable, Creator shall include clear and conspicuous disclosures in compliance with applicable promotional guidelines when Deliverables include endorsements, sponsored content or paid placements. Creator shall ensure disclosures are integrated into creative and metadata where required.

Exclusivity

Termination

Either party may terminate this Agreement for material breach after written notice and a cure period as set forth below. Termination for convenience is permitted upon payment of the kill fee described herein.

Representations, Warranties & Indemnity

Creator represents that Deliverables will be original, will not infringe third-party rights, and will comply with applicable laws. Creator shall indemnify and hold Brand harmless from third-party claims arising from Creator's breach of such representations. Brand shall indemnify Creator for claims arising from Brand-provided materials or Brand directions that infringe third-party rights.

Insurance

Creator shall maintain commercially reasonable liability insurance and, if relevant, workers' compensation insurance. Creator shall provide certificates of insurance upon request.

Confidentiality

Limitation of Liability & Remedies

Except for breaches of confidentiality, indemnity obligations or willful misconduct, neither party's aggregate liability to the other for any claim arising under this Agreement shall exceed the total fees paid to Creator under this Agreement. The parties agree that monetary damages are the sole and exclusive remedy for creatable breaches except as otherwise stated.

Force Majeure, Assignment & Governing Law

Neither party shall be liable for delays or nonperformance due to causes beyond reasonable control. This Agreement may not be assigned without the other party's prior written consent, except to an affiliate or successor. This Agreement will be governed by the laws of the state of without regard to conflict-of-law rules.

Miscellaneous

This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements and understandings relating to the Services. Any amendment must be in writing and signed by authorized representatives of both parties.
