Usage Rights & Intellectual Property

Upon full payment for production and any design services specifically invoiced herein, the Client is granted a non‑exclusive, non‑transferable license to use the delivered vinyl materials for the purposes identified in this Quote within the Territory and Term set forth below. Vendor retains ownership of manufacturing techniques, templates, and tooling unless otherwise assigned in a separate written agreement.

Production, Proofs & Warranty

Client is responsible for approval of color proofs and final artwork. Vendor will provide digital or physical proofs as required; production will not commence until Client approval is received in writing. Vendor warrants finished materials to be free from manufacturing defects for a period of 30 days from delivery. This warranty does not cover color variation inherent to printing processes, damage due to improper installation, exposure beyond material ratings, or abrasion from third‑party activities.

Exclusivity, Cancellation & Kill Fee

Unless otherwise agreed in writing, this Quote does not grant exclusivity. To request exclusive manufacturing or priority scheduling, indicate acceptance below and describe scope of exclusivity. Cancellation of this Quote by Client after approval but prior to production will result in a kill fee equal to the non‑refundable deposit plus documented non‑recoverable costs incurred by Vendor. Vendor may suspend work for non‑payment.

Compliance, Indemnity & Liability

Client represents that all artwork, logos, and instructions provided to Vendor do not infringe any third‑party rights and comply with applicable advertising and labeling laws. Client shall indemnify and hold Vendor harmless from claims arising out of Client‑supplied materials or instructions. Vendor's aggregate liability for breach, negligence, or otherwise is limited to direct damages not to exceed the total fees paid under this Quote; Vendor is not liable for consequential, incidental, or punitive damages.

Material & Environmental Notices

Vinyl materials have varying suitability for indoor and outdoor use; Vendor has provided recommendations but cannot guarantee performance beyond manufacturer's published ratings. Client assumes responsibility for selection where Vendor advises risk of premature failure due to environmental exposure.

FTC & Advertising Disclosure

If these vinyl materials are used in paid promotional placements or endorsements, Client is responsible for ensuring appropriate commercial disclosures are provided in accordance with applicable advertising standards. Vendor will comply with Client instructions but is not responsible for Client's advertising content or disclosure obligations.

Termination

Either party may terminate this Quote for material breach if the breaching party fails to cure within 10 business days after written notice. Termination by Client after production commencement will require payment covering work performed and non‑reversible costs. Termination for convenience by Client requires payment of a cancellation fee equal to the deposit plus reasonable costs to wind down production.

Miscellaneous

This Quote constitutes the entire agreement between the parties regarding the matters described herein and supersedes prior communications. Any modification must be in writing and signed by authorized representatives of both parties. Governing law for disputes shall be specified by the parties below.
