Confidentiality

Representations, Warranty & Indemnity

Each party represents and warrants that it has the right to enter into this Agreement and grant the rights herein. Agency warrants that deliverables will not infringe third-party rights and will comply with applicable laws. Agency will indemnify, defend and hold harmless Client from third-party claims arising from Agency content or failures to disclose sponsored material as required.

Limitation of Liability & Force Majeure

Except for indemnification obligations or willful misconduct, neither party will be liable to the other for consequential, incidental or punitive damages. Performance obligations are suspended for events beyond a party's reasonable control; if such event continues for more than days either party may terminate.
